*ST金宇(000803.SZ)：重組交易尚未獲證監會核准 要約收購仍存不確定性
格隆匯5月14日丨*ST金宇(000803.SZ)公佈，四川金宇汽車城(集團)股份有限公司(以下簡稱“公司”)收到北京北控光伏科技發展有限公司(以下簡稱“北控光伏”)出具的《北京北控光伏科技發展有限公司關於要約收購四川金宇汽車城(集團)股份有限公司事宜進展情況的告知函》。
公司此前公告，擬發行股份及支付現金收購山東十方環保能源有限公司86.34%股權並募集配套資金(以下簡稱“重組交易”)。2020年2月17日，北控光伏與公司簽署附條件生效的《募集配套資金非公開發行股份之股份認購協議之補充協議》，該協議簽署及履行將可能導致北控光伏對金宇車城形成全面要約收購義務。2020年3月11日，公司披露了《四川金宇汽車城(集團)股份有限公司要約收購報告書摘要》及《四川金宇汽車城(集團)股份有限公司關於收到要約收購報告書摘要的提示性公告》。
由於北控光伏及其一致行動人目前持有公司33.93%股權，北控光伏擬認購公司重組交易的募集配套資金，將增加北控光伏及一致行動人擁有上市公司的權益，根據《上市公司收購管理辦法》相關規定，在滿足相關條件後北控光伏應向除北控光伏及一致行動人以外的其他所有持有上市流通普通股(A股)的股東發出全面要約。本次要約收購不以終止公司的上市地位為目的。
本次要約收購以公司重組交易事項經中國證券監督管理委員會(以下簡稱“中國證監會”)核准為生效條件，因此，若公司重組交易未取得上述核准，則北控光伏本次要約收購將自動終止。公司重組交易募集配套資金存在失敗風險，若北控光伏及一致行動人認購募集配套資金失敗，則北控光伏無需履行要約收購義務，本次要約收購將自動終止；根據《上市公司收購管理辦法》第五十六條規定，“收購人擁有權益的股份超過該公司已發行股份的30%的，應當向該公司所有股東發出全面要約；收購人預計無法在事實發生之日起30日內發出全面要約的，應當在前述30日內促使其控制的股東將所持有的上市公司股份減持至30%或者30%以下，並自減持之日起2個工作日內予以公告；其後收購人或者其控制的股東擬繼續增持的，應當採取要約方式”。若屆時履行上述股份認購協議相關期間內，北控光伏及其一致行動人持有金宇車城股權比例發生變化，將可能導致北控光伏無需履行全面要約收購義務。
公司已於2020年3月26日收到中國證監會出具的《中國證監會行政許可項目審查一次反饋意見通知書》，並正在積極推進反饋意見的回覆工作，因此公司重組交易尚未取得中國證監會核准，公司無法自披露《四川金宇汽車城(集團)股份有限公司要約收購報告書摘要》之日起60日內公告《要約收購報告書》。
