晉億實業(601002.SH)：晉億物流擬增資擴股 引入順豐投資及跟投方
格隆匯5月13日丨晉億實業(601002.SH)公佈，公司全資子公司晉億物流有限公司(以下簡稱“晉億物流”或“目標公司”)擬進行增資擴股，引進戰略投資者深圳市順豐投資有限公司(以下簡稱“順豐投資”)以及自然人餘小敏、谷春光、黃贇和張萍。
本次增資擴股事項分為兩個階段。第一階段順豐投資及跟投方將以人民幣6900.869萬元認購目標公司新增註冊資本人民幣5213.0361萬元。初次增資價格為1.32377元/註冊資本。
第二階段順豐投資及跟投方將以人民幣5.18億元認購目標公司新增註冊資本人民幣1.71億元，第二階段增資將在初次增資交割後8個月內以目標公司完成業績指標為條件，該業績指標為目標公司在連續二個月中每個月的交易客户數量不少於950個並且連續二個月中每個月銷售金額不少於人民幣6750萬元(税後)。目前，目標公司最近一個月直接交易客户為480個，銷售金額為2471萬元(未經審計)，因此，第二階段增資條件達成存在較大的不確定。
在本次交易實施前，目標公司需完成交易前重組。目標公司將引入無關聯第三方嘉興福習企業管理有限公司(以下簡稱“嘉興福習”)成為目標公司的財務投資人，由晉億實業向其轉讓目標公司的部分股權；同時，晉億實業將以持有的目標公司股權出資，與子公司嘉善晉億軌道扣件有限公司及其他方共同設立一家合夥企業寧波晉昌管理諮詢合夥企業(有限合夥)，用於實施目標公司的股權激勵計劃和引入其他外部投資人；另外，目標公司需已與晉億實業簽署《業務合作協議》。以上引入財務投資人、設立持股平台、公司與目標公司簽署《業務合作協議》與本次交易構成一攬子交易。
