微創醫療(00853.HK)：蘇州微創骨科學獲戰投5.8億元
格隆匯5月13日丨微創醫療(00853.HK)公佈，於2020年5月13日，集團若干成員公司訂立協議，據此望道通生物技術及投資者同意向目標公司蘇州微創骨科學（集團）有限公司注入新資本；及附屬公司微創（上海）醫療科學投資有限公司同意提供貸款予望道通生物技術。
望道通生物技術及投資者A至投資者F將向目標公司注資合計人民幣5.8億元，其中望道通生物技術及投資者E將分別注資人民幣5521萬元及人民幣3885萬元。緊隨第一份協議完成後，公司於目標公司的實際股權將由當前的100%攤薄至約85.17%，而目標公司仍將為公司的附屬公司。
此外，附屬公司將向望道通生物技術提供本金額人民幣5521萬元的5年期有抵押定期貸款。貸款將按年利率5%計息，於到期時支付。
目標公司為一間於中國成立的有限公司，主要從事開發、生產及銷售與關節、脊柱、創傷及運動損傷有關的植入物、工具及醫療器械設備。目標公司於第一份協議日期由公司全資擁有。
公告顯示，望道通生物技術為一間於中國成立的有限公司，主要從事投資控股業務。望道通生物技術由常兆華博士（公司執行董事）全資擁有。投資者A為一間於中國成立的有限合夥企業，主要從事投資業務，由中國人壽保險（集團）公司擁有。投資者B為一間於中國成立的有限合夥企業，主要從事投資業務，由廣東民營投資股份有限公司擁有。
投資者C為一間於中國成立的有限合夥企業，主要從事股權投資及投資管理，由Chen Yong擁有。投資者E為一間於中國成立的有限合夥企業，主要從事投資業務。本集團的若干僱員是投資者E的有限合夥人。投資者F為一間於英屬維爾京羣島註冊成立的公司，主要從事投資控股業務，由本集團若干附屬公司董事及僱員擁有。
公司稱，集團處於快速發展階段。由於集團很多產品涉及尖端技術及巨大的開發成本，因此集團對實施其發展計劃有大量的資金需求。向目標公司引入投資者是為向目標公司發展提供額外資金。集團採取一項鼓勵僱員積極參與業務投資的戰略，以使僱員可以在業務中擁有個人權益，以分享集團的業績。為了積極促進附屬公司及聯營公司的業務發展和孵化，並鼓勵高級管理層積極參與此項投資、激發高級管理層的創業精神，並促進集團設定的戰略目標的實施，公司考慮向高級管理層提供財務援助，以投資附屬公司及聯營公司。
