格隆匯5月13日丨連續3個漲停的*ST安通(600179.SH)發佈股票交易風險提示公告，公司”）近期股票交易波動較大，現對有關事項和風險説明如下，敬請廣大投資者理性投資，注意投資風險。
一、實施退市風險警示
公司於2020年4月30日在上海證券交易所網站披露了《2019年年度報告》，公司2019年度歸屬於上市公司股東的淨資產為-9.82億元，且公司2019年度財務報告被大華會計師事務所（特殊普通合夥）出具無法表示意見的審計報告。根據《上海證券交易所股票上市規則》第13.2.1條和13.2.4條的規定，公司已於2020年5月6日起實施退市風險警示。
二、違規擔保及其產生的訴訟情況
截止公告日，公司存在控股股東違規對外擔保的金額合計人民幣356,879.95萬元；因控股股東的違規擔保導致公司涉及訴訟金額合計人民幣220,377.1萬元。公司將本着對全體股東高度負責的態度，積極督促控股股東制定切實有效的解決方案，違規擔保問題實際控制人如能有效解決，對公司經營將帶來積極影響；但前述問題如不能及時有效解決，將對公司經營管理持續產生負面影響。
三、存在資金佔用的情況
公司在自查中發現存在控股股東非經營性資金佔用的情況，截止2019年12月31日，資金佔用餘額合計為13.09億元。截止公告日，上述控股股東非經營性資金佔用餘額尚未歸還。
四、子公司重整的風險
公司的兩家核心子公司泉州安通物流有限公司和泉州安盛船務有限公司因不能清償到期債務，被債權人申請司法重整，該等重整申請已於2019年12月18日被泉州中院正式受理，兩家子公司已由法院指定的管理人接管，目前重整方案尚未制定，在重整期間，公司對兩家子公司能否繼續實施控制存在一定的不確定性，後續能否與債權人達成協議避免進入破產清算程序也具有一定的不確定性。
五、可能面臨終止上市的風險
2020年3月25日，中航信託股份有限公司以公司不能清償到期債務且明顯缺乏清償能力為由，向泉州市中級人民法院(“法院”)申請對公司進行重整。截至公告日，公司尚未收到法院對申請人申請公司重整事項的裁定書，申請人的申請是否被法院受理，公司是否進入重整程序尚存在重大不確定性。如果法院裁定受理重整申請，公司還將存在因重整失敗而被宣告破產的風險。如果公司被宣告破產，根據《上海證券交易所股票上市規則(2019年4月修訂)》14.3.1和14.3.12的規定，公司股票將被終止上市。
