吉峯科技(300022.SZ)：擬轉讓成都聚投100%股權予香城發展
格隆匯5月12日丨吉峯科技(300022.SZ)公佈，公司於2020年5月12日召開第四屆董事會第五十四次會議，審議通過了《關於擬轉讓子公司股權的議案》，同意公司控股子公司四川吉峯聚力實業發展有限公司(“聚力實業”或“乙方1”)、全資子公司四川吉峯農機連鎖有限公司(“吉峯農機”或“乙方2”)將其持有的成都吉峯聚力投資有限公司(“成都聚投”)的99%、1%股權轉讓給成都香城城市發展有限公司(“香城發展”或“甲方”)，股權轉讓價款合計6689萬元人民幣，定價依據為以獨立第三方評估機構出具的評估報告所確定的評估值為基礎，由雙方協商確定。董事會授權公司管理層簽署《股權轉讓協議》等有關文件及辦理相關變更手續。
成都吉峯聚力投資有限公司經營範圍：項目投資及諮詢;製造、加工:小型農業機械、通用機械配件;市場開發;農業工程的技術諮詢服務;農業機械及農用機電維修;銷售:汽車(不含品牌汽車)、農業機械、工程機械、普通機械、鋼材、農業生產資料、農副土特產品(不含糧油);房屋租賃(以上項目需取得專項許可的,必須在取得相關許可證後方可開業,並按許可時效從事經營;國家禁止或者限制經營的不得經營)。
為優化資產結構，公司控股子公司四川吉峯聚力實業發展有限公司、全資子公司四川吉峯農機連鎖有限公司將其持有的成都吉峯聚力投資有限公司(“成都聚投”)的99%、1%股權轉讓給香城發展。通過有效資產盤活，可以提高公司資金週轉利用效率，有效降低財務費用，同時獲得門店物業的增值收益。為公司盤活資產、鞏固優勢、深化戰略、提升效益提供了有效的措施，符合全體股東和公司長遠利益。
此次交易將對公司財務狀況產生一定影響，為公司改善各項財務指標，並實現現金流入，增加營運資金。此次交易完成後，公司將收到的交易對價人民幣6689萬元，預計此次交易將對歸屬於公司的淨利潤的影響金額560萬元左右。
