新宙邦(300037.SZ)：波蘭子公司擬2650萬元購買土地及廠房
格隆匯5月13日丨新宙邦(300037.SZ)公佈，公司以子公司CapchemPoland Sp. z o.o.(“波蘭新宙邦”)為項目實施主體，投資建設年產40000噸鋰離子電池電解液、5000噸NMP和5000噸導電漿項目(“波蘭新宙邦項目”或“項目”)，項目預計總投資3.6億元人民幣，一期投資2億元。
公司於2018年8月31日在波蘭下西里西亞省的奧瓦瓦市購得一塊麪積共80188平方米的土地，擬投資建設波蘭新宙邦項目一期40,000噸/年的鋰離子電池電解液工廠，以滿足歐洲市場快速增長的電解液需求。鑑於未來5年歐洲市場的整體電解液需求量超預期增長，為加快項目的投產進度，波蘭新宙邦與BASF POLSKA 於2020年5月11日簽署了《資產轉讓合同》，波蘭新宙邦擬使用自有資金約合2650萬元人民幣向BASF POLSKA購買位於大波蘭省西雷姆市的土地使用權及廠房、生產設施、倉庫、辦公室等附屬資產。此次交易標的所涉及土地使用面積48361平方米，已建成的房屋建築物面積6608平方米。
此次交易標的涉及的工廠於2010年投資建成，位於波蘭中西部的大波蘭省的西雷姆市，主要生產聚氨酯和建築化學品，其生產條件和電解液的生產條件非常相似，進行一定的改造即可用於鋰離子電池電解液的生產。交易標的現有廠房、設施的改造可滿足波蘭新宙邦項目一期40000噸鋰離子電池電解液產能設計的需求。此次交易和改造加快了波蘭新宙邦項目的投產，儘早滿足歐洲客户的本地化供應，同時大幅度降低項目投資成本，減少公司未來資產折舊，提高產品的成本競爭力。此外，廠區內還有約3萬平米的預留土地，可用於未來電解液產能擴充。
此次交易標的工廠附近均為製造類和化工類企業，此次交易得到了波蘭國家投資局和當地政府的支持和歡迎。目前，交易雙方已完成合同簽訂，並將於合同簽訂一週內進行資產交割。項目改造工作正在積極推進，預計將於2021年二季度投產，項目一期投資成本將控制在2億元人民幣以內。公司原在奧瓦瓦購得的土地，靠近波蘭國道，且附近有規劃外環線，交通便利，現計劃變更為公司物流倉庫，滿足客户對於大批量交付的物流和倉儲需求。
