楚天科技(300358.SZ)擬斥5100萬元設立控股子公司 促進醫藥智能製造發展
格隆匯5月12日丨楚天科技(300358.SZ)公佈，公司擬與相關方共同出資在湖南省長沙寧鄉市成立一家從事以提供生物工程下游分離純化整體解決方案及配套工藝、耗材、設備及泵、閥門等核心器件為主營業務的公司。合資公司名稱為楚天源創生物技術(長沙)有限公司(“楚天源創”“合資公司”)，註冊資本1億元。合資公司成立後，楚天科技認繳出資5100萬元，佔其51%股權，為楚天科技控股子公司。
長沙楚天源創管理合夥企業(有限合夥)作為合資公司引進核心人才股權激勵的持股平台，唐嶽為楚天科技方指派人員，擔任合夥企業的合夥人之一，僅代表楚天科技行使相關權利，並不代表其個人。其他交易各方均為公司非關聯人員，故此次交易不構成關聯交易。
楚天源創生物技術(長沙)有限公司經營範圍：生物製品、機電產品、機械設備的研發；化工產品研發、製造、零售；製藥專用設備、泵、閥門、壓縮機及類似機械、食品、酒、飲料及茶生產專用設備的製造；通用機械設備銷售；機械配件批發；機械設備技術服務；機械設備租賃；軟件開發；生物技術推廣服務；自營和代理各類商品及技術的進出口，但國家限定公司經營或禁止進出口的商品和技術除外。
此次成立楚天源創是公司戰略規劃的必然舉措，圍繞楚天科技“一縱一橫一平台”發展戰略，有利於促進醫藥智能製造發展。層析超濾設備、在線配液系統、生物反應器等，是生物製藥的核心關鍵設備，也是核心關鍵技術。成立楚天源創符合楚天科技戰略佈局，有利於完善公司生物工程整體解決方案，提升生物工程整體競爭力。此次相關合作方深耕層析超濾等領域多年，核心團隊擁有超強的產品技術創新能力，有一定人才和市場基礎。後續結合楚天源創的工藝技術、楚天科技的設計能力、加工能力、控制技術等，有利於公司產品質量、穩定性等的進一步提高。未來，楚天源創與楚天科技將在產品技術、市場銷售等方面實現互補提升。
