佳都科技(600728.SH)定增引進戰略投資者 其中華夏人壽人擬認購5億元
格隆匯5月11日丨佳都科技(600728.SH)公佈，2020年2月26日，公司與佳都集團有限公司(“佳都集團”)、堆龍佳都科技有限公司(“堆龍佳都”)、華夏人壽保險股份有限公司(“華夏人壽”)等11名認購對象簽署了《佳都新太科技股份有限公司非公開發行股票之認購協議》，該11名認購對象擬參與認購公司本次非公開發行的擬不超過366,995,066(含)股股票，本次非公開發行股票的價格為8.12元/股。本次非公開發行股票的定價基準日為公司第九屆董事會2020年第三次臨時會議決議公告日，發行價格不低於定價基準日前二十個交易日公司股票交易均價的80%。擬募集資金不超過29.8億元，扣除發行費用後將全部用於補充公司流動資金。
該11名認購對象具體認購情況如下：
上述認購對象中，佳都集團系公司的控股股東，堆龍佳都屬於實際控制人控制的其他公司。剩餘認購對象系公司基於長期發展戰略而引入的戰略投資者暨合作夥伴，符合《上市公司非公開發行股票實施細則》及《發行監管問答——關於上市公司非公開發行股票引入戰略投資者有關事項的監管要求》關於戰略投資者的相關要求。公司已與上述戰略投資者及相關合作方簽署了《戰略合作協議》。
公司此次定增主要目的在於引入具備較強實力的產業或資源合作方支持公司發展戰略，並引入長期資金支持公司業務發展。本次引入的戰略投資者均擁有深厚的產業背景、投資和管理經驗以及豐富的行業資源，公司與戰略投資者之間具有良好的協同效應。公司將基於戰略投資者在市場、渠道、品牌等方面的優勢，與華夏人壽在金融保險領域的人工智能產品，與廣東恆闊、粵民投、南京瑞森、上海舒萍、玄元投資在人工智能技術以及軌道交通、智慧城市、智慧交通等領域，與祝麗娜、星河灣創投在智慧社區、智慧教育等領域開展項目及諮詢等戰略合作，實現優勢互補、互利共贏，最終實現公司更加持續和穩定的發展。
此次引入的戰略投資者將在軌道交通、智慧城市、人工智能等領域與公司展開戰略合作，相關領域均為公司主營業務領域，同時在金融保險、智慧教育、智慧社區領域拓展公司業務範圍，引入上述戰略投資者有利於實現優勢互補及合作共贏，提升公司競爭力及增強盈利能力，具有較高的商業合理性。
