太空智造(300344.SZ)：公司實控人將變更為古鈺瑭 明起復牌
格隆匯5月11日丨太空智造(300344.SZ)公佈，2020年5月11日，公司控股股東、實際控制人樊立及樊志與寧波嶺楠企業管理合夥企業(有限合夥)(“寧波嶺楠”)簽署《股份轉讓協議》，樊立根據《股份轉讓協議》約定條件向寧波嶺楠轉讓其所持有公司1971.7096萬股股份(佔公司總股本的3.97%)；樊志根據《股份轉讓協議》約定條件向寧波嶺楠轉讓其所持有公司1253.037萬股股份(佔公司總股本的2.53%)。此次協議轉讓完成後，寧波嶺楠將持有公司3224.7466萬股，佔公司總股本6.50%。
2020年5月11日，公司召開第七屆董事會第十七次會議通過了非公開發行股票相關事項，此次非公開發行股票數量不超過148,834,459股(含本數)，非公開發行的股票數量上限不超過此次發行前公司總股本的30%，最終發行股票數量以中國證監會核准的數量為準。
同日，與寧波嶺楠受同一控制的合肥嶺岑科技諮詢合夥企業(有限合夥)(“合肥嶺岑”)與公司簽署《附生效條件的非公開發行股票認購協議》，合肥嶺岑擬以現金認購本次非公開發行股票數量148,834,459股(含本數)(佔此次發行前上市公司總股本的30%)，認購資金總額56,854.76萬元(含本數)，最終認購金額根據實際發行數量和發行價格確定。
2020年5月11日，樊立及樊志與寧波嶺楠簽署《關於放棄行使表決權的協議》，雙方約定，自本次非公開發行新增股份完成登記之日起，樊立及樊志放棄其直接持有的公司剩餘股份的表決權。
上述《股份轉讓協議》項下標的股份交割完成及樊立、樊志放棄其直接持有的公司剩餘股份的表決權生效後，寧波嶺楠將持有公司3224.7466萬股股份(佔公司本次非公開發行後總股本5%)，合肥嶺岑將持有公司148,834,459股股份(佔公司本次非公開發行後總股本23.08%)，寧波嶺楠及合肥嶺岑合計持有公司181,081,925股(佔公司本次發行後總股本28.08%)；樊立、樊志將不直接擁有上市公司表決權。上市公司控股股東將由樊立、樊志變更為合肥嶺岑，實際控制人將由樊立、樊志變更為古鈺瑭。
經向深圳證券交易所申請，公司股票自2020年5月12日開市起復牌。
