初靈信息(300250.SZ)：第二期員工持股計劃非交易過户完成
格隆匯5月11日丨初靈信息(300250.SZ)公佈，第二期員工持股計劃實際認購資金總額為約4262.33萬元，資金來源為員工的合法薪酬、自籌資金等。該員工持股計劃不存在上市公司向持有人提供墊資、擔保、借貸等財務資助情形，員工實際認購份額未超過股東大會審議通過的擬認購份額。
2020年5月11日，公司收到中國證券登記結算有限責任公司深圳分公司下發的《證券過户登記確認書》，“杭州初靈信息技術股份有限公司回購專用證券賬户”所持有的公司股票已於2020年5月8日非交易過户至“杭州初靈信息技術股份有限公司—第二期員工持股計劃”，過户股數為3,329,943股。過户價格為12.80元/股。公司全部有效的員工持股計劃所持有的股票總數累計未超過公司股本總額的10%，單個員工所獲股份權益對應的股票總數累計未超過公司股本總額的1%。
公司董事兼副總經理金寧、王敏、副總經理周亮、董祕兼財務總監許平、監事管桂琴女士參與認購此次員工持股計劃。除上述情形外，此次員工持股計劃與公司控股股東、實際控制人、董事、監事、高級管理人員之間不存在關聯關係。公司員工在認購該員工持股計劃份額後即成為該計劃的持有人，持有人會議是員工持股計劃的內部管理權力機構。各持有人所持份額佔此次員工持股計劃總份額的比例均不夠對持有人會議施加重大影響。
至此，公司第二期員工持股計劃已完成股票非交易過户。根據《杭州初靈信息技術股份有限公司第二期員工持股計劃(草案)》(修訂稿)該部分股票將按照規定予以鎖定，自公司公告最後一筆標的股票過户至該員工持股計劃名下之日起，標的股份將予以鎖定，鎖定期為12個月。此次員工持股計劃的存續期為36個月，自股東大會審議通過之日起算。該員工持股計劃的存續期屆滿前2個月，經持有人會議和公司董事會審議通過後，該員工持股計劃的存續期可以延長。
