金山軟件(03888.HK)：金山雲成功在納斯達克上市 公司參與認購1997.5萬美元
格隆匯5月8日丨金山軟件(03888.HK)宣佈，有關建議分拆及金山雲發售事項，美國存托股票的定價已於2020年5月7日(紐約時間)確定，其已於2020年5月8日(紐約時間)開始在納斯達克買賣。
每股美國存托股票的發售價定為17美元(相等於每股美國存托股票約131.75港元)。根據金山雲發售，金山雲將於行使任何超額配股權前發行及出售3000萬股美國存托股票(佔金山雲已發行股本(經金山雲發售擴大)的約13.9%)。每股美國存托股票相當於15股金山雲股份。
假設超額配股權獲悉數行使，根據金山雲發售將予出售的美國存托股票總數將佔金山雲已發行股本(經金山雲發售擴大)的約15.6%。
按發售價計算，扣除金山雲需支付的包銷折扣及佣金以及估計發售開支後，金山雲將從金山雲發售獲得的所得款項淨額約4.739億美元(相等於約36.727億港元)，或約5.458億美元(相等於約42.30億港元)(如包銷商悉數行使購買額外美國存托股票的購股權)。
於2020年5月7日(紐約時間)，公司及小米於金山雲發售中，按與將予發售的其他美國存托股票相同的條款，各自分別按發售價認購及已獲包銷商分配117.5萬股及235.5萬股美國存托股票，分別相當於金山雲發售中將予發售的美國存托股票的約3.92%及7.85%，此乃假設包銷商並未行使其超額配股權。金山雲認購事項及小米認購事項相互獨立，且彼此互不為條件。公司及小米就金山雲認購事項及小米認購事項分別應付的代價約為1997.5萬美元及4003.5萬美元。
為根據第15項應用指引的規定妥善顧及股東的利益，董事議決按下述基準的分派方式向股東宣派特別股息約1.391億港元，即(a)於公告日期，按總數1,372,728,717股股份分派每股約0.10135港元；或(b)基於每股美國存托股票17美元的發售價，按合資格股東每持有1,300股股份兑換一股分派美國存托股票的基準進行分派，並將以1.00美元兑7.75港元的匯率兑換為港元。
