山東黃金(01787.HK)擬2.3億加元收購及認購加拿大黃金公司TMAC Resources Inc.股份
格隆匯5月8日丨山東黃金(01787.HK)發佈公告，於2020年5月8日，公司及山東黃金香港與目標公司TMAC Resources Inc.訂立安排協議。公司透過山東黃金香港將於加拿大成立的一家附屬公司提呈一項收購安排，按每股目標股份1.75加元的現金代價，收購所有已發行的目標股份及因行使權益工具而可能予以發行的任何新目標股份。公司將就山東黃金香港完成安排協議為其提供擔保。
山東黃金香港亦訂立認購協議以1500萬美元（即每股認購股份1.75加元）認購認購股份，相當於目標公司經擴大已發行股本的約9%。根據截至安排協議日期已發行的1.18億股目標股份，總代價約為2.07億加元。收購事項及認購協議項下擬進行的交易的總代價約為2.3億加元。
TMAC Resources Inc.為加拿大黃金開採公司，其總部位於加拿大，並於加拿大多倫多證券交易所上市（股份代號：TMR）。該公司主要於加拿大從事勘探、開採及生產黃金資源。目標公司的核心資產為座落於加拿大努納福特（Nunavut）東北部的霍普灣（HopeBay）項目。於2019年12月31日，根據加拿大NI43-101準則，霍普灣項目的已證實及可信黃金儲量為3,545,000盎司（110.3噸），平均品位為6.5克╱噸。霍普灣項目於2017年完成並投入運營，目前合共生產約9.5噸黃金。
公司稱，交易將能令集團進軍加拿大著名的黃金開採區，而由於可能於該區打造世界一流的礦山，故可提升集團的全球影響力。集團將與世界一流的公司及團隊合作，以便建立穩固基礎，從而進一步尋求海外發展的機遇。目標公司可觀的資源規模有利於集團實現十三五戰略目標。於收購事項後，公司將致力於探索探礦及儲存的可能性，以全面實現資產價值，從而大幅提升公司的黃金生產規模，並將進一步鞏固公司在全球最大黃金生產企業的地位。
於收購事項後，目標公司將獲除牌以完成私有化，且目標公司將由集團全資擁有。目標公司的財務資料將於集團財務報表內綜合入賬。於完成後，公司計劃優化目標公司的生產佈局及流程。收購事項預期將為公司帶來豐厚回報。
