雲遊控股(00484.HK)：將致力改善對北京西瓜的內部控制
格隆匯5月8日丨雲遊控股(00484.HK)公佈，有關北京西瓜收購事項，收購事項完成後，北京西瓜成為公司的非全資附屬公司。北京西瓜主要從事於實體店利用特定空間定位技術及虛擬現實("VR")設備提供自主研發遊戲及獨家授權遊戲。集團致力透過北京西瓜進一步加強其VR遊戲業務。於2019年12月31日，北京西瓜於中國64個城市以"頭號玩咖"品牌經營129間VR門店，包括直營店、合營店及加盟店。
北京西瓜亦進行品牌宣傳推廣合作，向委聘北京西瓜透過"頭號玩咖"VR門店進行品牌宣傳推廣服務的公司收取服務費。
公司於截至2019年12月31日止年度後就北京西瓜的銷售收入進行內部審閲。於有關內部審閲完成後，為協助公司進一步瞭解與北京西瓜營運相關的銷售收入以及識別任何潛在風險及控制不足之處，公司在公司獨立調查委員會批准下，委聘獨立調查員調查北京西瓜於2019年6月1日至2019年12月31日期間的銷售收入。為清晰起見，於2020年4月27日獲委任的獨立非執行董事王棟及黃志堅於同日獲委任加入獨立調查委員會。
獨立調查員已完成獨立調查及發出調查報告。獨立調查的範圍僅限於獨立調查員就截至2020年4月15日的可得資料而進行的工作。獨立調查員概不就另一方可能蒙受或因調查報告的內容而產生或牽涉或以任何方式與之相關的任何損失或責任向任何一方承擔任何責任。
西瓜調查報告所載主要發現的詳情如下：獨立調查員注意到，北京西瓜的遊戲記錄系統僅記錄若干大型VR遊戲的實際玩樂時間，系統並無將VR遊戲的實際玩樂時間與銷售記錄配對的功能。於2019年12月將遊戲記錄與銷售系統連接前，VR門店員工可自行啟動VR遊戲，而不論客户是否實際就遊戲付款或購買代幣。
董事會(包括獨立調查委員會)正在評估西瓜調查報告所識別事項及問題對其業務營運的影響，以及對集團造成的可能財務影響，當中可能涉及VR遊戲業務截至2019年12月31日止年度的收益、開支、資產及負債。董事會認為，西瓜調查報告由專業人士全面進行，據獨立調查員表示，有關調查已在目前可能範圍內完成。於進行西瓜調查報告時，公司給予獨立調查員充分合作，亦無對其施加任何限制。根據西瓜調查報告，概無證據表明公司任何現任董事牽涉西瓜調查報告識別之問題。董事會連同集團管理層將繼續改善集團之內部控制。
董事會(包括獨立非執行董事)經考慮(其中包括)西瓜調查報告結果後，注意到並接受獨立調查員的推薦建議。公司將致力改善其對北京西瓜的內部控制。公司亦將考慮委聘內部控制顧問就其VR遊戲業務內部控制制度的若干範圍進行全面審查並提供推薦建議。
