華懋科技(603306.SH)：參與交易的華為投資與註冊於深圳的華為技術有限公司及其唯一股東無任何關聯關係
格隆匯5月8日丨華懋科技(603306.SH)發佈風險提示公告，公司股票於2020年5月8日漲停，股票交易價格波動較大。公司現對有關事項和風險説明如下，請投資者理性投資，注意投資風險。
一、關於公司控制權擬發生變更事項的重大風險提示
1、華為投資系一家於2012年7月20日在上海設立的有限責任公司，目前，註冊資本為人民幣3050萬元，由自然人股東袁晉清持股54.65%、林暉持股34.43%、徐晗熙持股10.92%。參與此次交易的華為投資與註冊於深圳的華為技術有限公司及其唯一股東華為投資控股有限公司無任何關聯關係，敬請廣大投資者注意投資風險、避免誤判。
2、華為投資將作為執行事務合夥人設立有限合夥企業作為收購主體具體實施本次交易。目前，受讓方尚未設立且擬設立的有限合夥企業的出資人亦尚未確定，本次交易存在因有限合夥企業未能設立或合夥企業實際募集資金不到位而無法交易的重大風險，敬請廣大投資者注意投資風險。
3、目前，受讓方尚未設立且交易資金尚在籌集，受讓方最終是否符合前述收購人資格條件、收購資金是否合法合規尚待核查，敬請廣大投資者注意投資風險。
4、華為投資目前簽署的《關於轉讓華懋(廈門)新材料科技股份有限公司股份的框架協議》僅為原則性框架協議，轉讓方和受讓方最終是否簽署正式《股份轉讓協議》並實際履行交割尚存在不確定性。本次交易存在最終未能達成並簽署正式《股份轉讓協議》或雖簽署正式《股份轉讓協議》但未能實際履行交割的重大風險，敬請廣大投資者注意投資風險。
5、華為投資截至2019年末總資產和淨資產均為人民幣約822.65萬元，收入為0，淨利潤為人民幣-66975.72元，資金實力不足，對外投資不多，其主要股東袁晉清和林暉先生均缺乏上市公司相關產業背景投資經驗，存在無法推進實施和完成本次交易的重大風險，敬請廣大投資者注意投資風險。
6、本次交易的受讓方尚未聘請財務顧問、評估機構，存在不能及時推進和完成買方盡職調查、不能推進和實施本次交易的風險，敬請廣大投資者注意投資風險。
7、由於上述事項尚存在不確定性，敬請廣大投資者注意投資風險。公司董事會將持續關注相關事項的進展，及時披露進展情況，並督促交易雙方按照有關法律法規的要求及時履行信息披露義務。
二、關於公司股價波動及業績下滑的風險提示
公司股票於2020年5月8日漲停，股票交易價格波動較大。公司控股股東KINGSWAY INTERNATIONAL LIMITED(金威國際有限公司)簽署的《關於轉讓華懋(廈門)新材料科技股份有限公司股份的框架協議》僅為原則性框架協議。轉讓方和受讓方最終是否簽署正式《股份轉讓協議》並實際履行交割尚存在不確定性。敬請廣大投資者注意投資風險。
公司主營業務為汽車安全氣囊布、安全氣囊袋以及安全帶等被動安全系統部件。公司2019年度和2020年第一季度淨利潤同比分別下滑14.34%和42.48%，受汽車市場銷量持續下滑的影響，公司2020年度業績可能面臨進一步下滑的風險，請投資者注意投資風險。
