中化巖土(002542.SZ)擬18.584億元收購建工路橋100%股權
格隆匯5月7日丨中化巖土(002542.SZ)披露發行股份購買資產暨關聯交易報告書(草案)，此次交易前，興城集團通過協議轉讓方式累積支付23.46億元，於2019年3月完成收購中化巖土控制權，成為中化巖土控股股東。
此次交易中，中化巖土擬以發行股份的方式，向建工集團購買其持有的成都建工路橋建設有限公司(“建工路橋”)100%股權，建工集團系興城集團控股子公司。此次交易對價為18.584億元，由上市公司與交易對方協商確定。
按照此次發行股份購買資產的股份發行價格3.59元/股計算，此次發行股份購買資產的股份發行數量預計約5.1766億股。
此次交易完成後，建工路橋將成為中化巖土全資子公司。
根據《業績承諾補償協議》，中化巖土與建工集團約定：建工路橋2020年度、2021年度、2022年度預計實現的經審計的淨利潤(淨利潤以扣除非經常性損益後為計算依據，以下同)不低於人民幣23,184.17萬元、24,051.71萬元、25,277.47萬元，若本次交易未能在2020年度實施完畢(指標的資產過户完成)，則業績承諾期順延至2023年度，建工路橋在2023年度應實現的淨利潤為24,193.85萬元。如果建工路橋在承諾年度實現的實際淨利潤未達到該年度承諾利潤數，則建工集團應按《業績承諾補償協議》的具體約定向中化巖土進行補償。
此次交易前，中化巖土經過多年的發展，已經形成了工程服務和通用航空兩個主要業務板塊。公司主營業務以工程服務為主，工程服務業務主要包括巖土工程、市政工程、機場場道工程、地下工程、工程諮詢，其中市政工程包括道路、橋樑、地下管網等工程項目。公司是國內領先的巖土工程和地下工程服務商。
2019年3月，興城集團通過累積支付23.46億元完成收購中化巖土控制權。收購完成後，為進一步優化興城集團資源配置，提升資產證券化率，實現國有資產保值增值，同時做強做大上市公司主營業務，興城集團擬將所屬開展市政工程業務的專業平台公司建工路橋注入中化巖土。
此次交易的標的公司建工路橋主營業務以施工總承包為主，專業從事市政工程，包括城市道路、橋樑、隧道、堤岸、河渠、景觀以及各類城市管網等工程，是成都市專業從事市政工程建設的市屬國有企業，多次榮獲天府杯、芙蓉杯等省市優質工程獎項，工程項目輻射成都市中心城區及天府新區、高新區、龍泉驛區、雙流區、邛崍以及四川省外部分地區，在我國西南區域具有較高的市場影響力和品牌知名度。
通過此次交易，將進一步強化中化巖土主營業務，充分發揮上市公司和建工路橋的市政工程業務協同優勢，優化雙方資源配置，顯著提升上市公司在市政工程業務領域競爭實力，顯著拓展上市公司在西南區域市場份額，大幅提升上市公司盈利能力，提高上市公司資產質量，改善上市公司財務狀況和增強持續經營能力，有利於保護全體股東特別是中小股東的利益。
