時代新材(600458.SH)擬與思鋭科技共設中車新鋭
格隆匯5月7日丨時代新材(600458.SH)公佈，公司與中車青島四方車輛研究所有限公司(“青島四方所”)之全資子公司青島思鋭科技有限公司(“思鋭科技”)以現金1000萬元共同投資設立合資公司株洲中車新鋭減振裝備有限公司(“中車新鋭”)。其中，時代新材以現金510萬元出資，持有中車新鋭51%的股權；思鋭科技以現金490萬元出資，持有中車新鋭49%的股權。
此次對外投資目的為解決中國中車與時代新材同業競爭問題。合資公司中車新鋭將納入時代新材報表合併範圍。經中國中車、時代新材、思鋭科技幾方協商後，擬定解決同業競爭初步方案如下：
1、合資公司中車新鋭成立後，時代新材將成立全資子公司株洲時代瑞唯減振裝備有限公司(公司名稱以工商登記結果為準，“時代瑞唯”)，用於承接時代新材涉及同業競爭相關資產、業務及人員；思鋭科技將成立全資子公司青島博鋭減振科技有限公司(公司名稱以工商登記結果為準，“博鋭科技”)，用於承接思鋭科技涉及同業競爭相關資產、業務及人員。
2、時代瑞唯、博鋭科技承接涉及同業競爭相關資產、業務及人員後，時代新材將以所持有的全資子公司時代瑞唯全部或部分股權(根據最終資產評估結果確定)向合資公司中車新鋭進行增資擴股；思鋭科技將以所持有全資子公司博鋭科技全部股權向合資公司中車新鋭進行增資擴股。
3、增資擴股實施完成後，中國中車與時代新材涉及同業競爭相關資產、業務及人員將整合至中車新鋭。時代新材持有合資公司中車新鋭51%股權，中車新鋭納入時代新材報表合併範圍；中車新鋭董事會設5名董事，其中3名董事和董事長人選由時代新材推薦，時代新材對合資公司擁有實際控制權，最終完成解決中國中車與時代新材同業競爭問題。
時代新材將根據上述初步方案的具體實施步驟，將方案實施過程中涉及到的需審議事項，按照時代新材《公司章程》及相關法律法規的規定，及時提交公司董事會或股東大會進行審議，對涉及關聯交易的事項，關聯董事、關聯股東將回避表決，公司將及時履行相關信息披露義務。
2019年時代新材軌道車輛用空氣彈簧、軌道車輛用金屬橡膠件等涉及同業競爭業務的營業收入為7.7億元，佔公司2019年總營業收入的6.9%。上述方案實施完成後，公司主營業務不會發生重大變化。
