派思股份(603318.SH)：關聯方水發控股集團擬向鄂爾多斯派思增資4.5億元
格隆匯5月7日丨派思股份(603318.SH)公佈，為增強公司全資子公司鄂爾多斯派思的資本實力，促進燃氣運營板塊業務的快速推進，公司董事會同意由公司關聯方水發控股集團對鄂爾多斯派思增資，公司放棄此次增資的優先認購權。公司於2020年5月7日與水發控股集團、鄂爾多斯派思在山東省濟南市歷城區簽署了《關於鄂爾多斯市派思能源有限公司之增資協議》，約定關聯方水發控股集團對鄂爾多斯派思增資4.5億元，其中，33831.77萬元計入鄂爾多斯派思實收資本，11168.23萬元計入鄂爾多斯派思資本公積。此次增資完成後，鄂爾多斯派思的註冊資本將由5.03億元變更為人民幣84131.77萬元，公司的出資比例為59.79%，水發控股集團的出資比例為40.21%，鄂爾多斯派思由公司全資子公司變更為控股子公司，此次增資不會導致公司合併報表範圍發生變更。
鄂爾多斯市派思能源有限公司經營範圍：供氣管道經營；新型能源、清潔能源、低碳能源開發；一般進出口貿易；液化天然氣、LNG液化天然氣、CNG、重烴。
通過此次增資，公司與水發控股集團共同投資運營該項目，能夠從更高層面上推動公司燃氣運營板塊業務整體發展，為項目建設和運營創造更好條件，有利於公司在新戰略週期內加快推行燃氣運營業務發展整體戰略實施，補充資本，增強公司資本實力，通過統籌運營燃氣板塊上下游、加強管理，實現業務協同，發揮鄂爾多斯派思在LNG生產加工方面的優勢，提升派思股份整體在燃氣運營業務上的盈利能力。
增資完成後，公司對鄂爾多斯派思的出資比例降至59.79%，水發控股集團出資比例為40.21%，鄂爾多斯派思仍為公司控股子公司，不會導致公司合併報表範圍發生變更。水發控股集團將按照40.21%的出資比例分享鄂爾多斯派思的利潤。此次增資暨關聯交易不會對經營成果產生不利影響，不影響公司獨立性，不會損害廣大中小股東的利益。
