唐德影視(300426.SZ)：公司實控人將由吳宏亮變更為東陽市國有資產監督管理辦公室
格隆匯5月6日丨唐德影視(300426.SZ)公佈，2020年5月6日，公司接到控股股東、實際控制人吳宏亮函告，吳宏亮與東陽市金融控股有限公司、東陽市金融控股有限公司的控股子公司東陽聚文影視文化投資有限公司於2020年5月6日簽訂了《吳宏亮與東陽市金融控股有限公司、東陽聚文影視文化投資有限公司關於浙江唐德影視股份有限公司之股份轉讓意向性協議》。
根據《意向協議》，東陽市金融控股有限公司、東陽聚文影視文化投資有限公司與吳宏亮擬共同成立一家有限責任公司(“受讓方”)，其中：東陽市金融控股有限公司出資5.1億元，持有受讓方63.75%的股權；東陽聚文影視文化投資有限公司出資1.5億元，持有受讓方18.75%的股權；吳宏亮或者吳宏亮指定的第三方出資1.4億元，持有受讓方17.50%的股權。吳宏亮擬向受讓方轉讓公司3802.7016萬股股份(佔公司總股本的9.08%)。上述交易完成後，受讓方持有公司9.08%的股份，吳宏亮持有公司27.23%的股份；同時吳宏亮擬將其所持公司8721.8935萬股股份(佔公司總股本的20.82%)表決權委託受讓方行使。
此次交易完成後，受讓方持有公司9.08%的股份，擁有公司29.90%的表決權，受讓方成為公司控股股東，東陽市人民政府國有資產監督管理辦公室成為公司的實際控制人。上述交易完成交割後，受讓方同意繼續受讓吳宏亮持有的表決權委託股份中的6670.2734萬股股份(佔公司總股本的15.92%，“後續轉讓股份”)。東陽市金融控股有限公司、東陽聚文影視文化投資有限公司應提供給吳宏亮一筆借款用於吳宏亮解除後續轉讓股份的質押，前述質押解除後吳宏亮應將後續轉讓股份質押給東陽市金融控股有限公司、東陽聚文影視文化投資有限公司，在後續轉讓股份根據中國法律及深圳證券交易所規則滿足轉讓及過户條件後，由吳宏亮和受讓方另行就後續轉讓股份轉讓事宜簽署正式的股份轉讓協議。
若此次轉讓實施完成，公司實際控制人將由吳宏亮變更為東陽市人民政府國有資產監督管理辦公室。公司此次股份轉讓有利於發揮充分發揮國有資本和民營資本融合發展的機制優勢。雙方同意共同積極推動公司引入戰略投資人；且東陽市金融控股有限公司、東陽聚文影視文化投資有限公司同意在此次交易交割後協助公司新增不少於2億元的融資，並擇機促使能夠提升公司核心競爭力的優質資產按照中國法律及深交所規則的規定注入公司。此次股份轉讓對公司日常生產經營活動沒有重大影響，公司將繼續聚焦影視主營業務發展，保持發展戰略的持續性和穩定性。
