棕櫚股份(002431.SZ)：子公司中豫洛邑擬引入豫資旅遊產業基金及河洛新業為戰投
格隆匯5月6日丨棕櫚股份(002431.SZ)公佈，公司(“甲方”)曾於2019年7月11日與洛陽金隅城集團有限公司(“金隅城”或“乙方”)共同投資設立河南中豫洛邑建設發展有限公司(“中豫洛邑”或“目標公司”)。中豫洛邑註冊資本1億元，棕櫚股份與金隅城各持有中豫洛邑50%股權，截至目前公司與金隅城各自實繳註冊資本金1000萬元。
現中豫洛邑擬引入戰略投資者“河南省豫資旅遊產業發展私募基金(有限合夥)”(“旅遊產業基金”或“丙方”)、“洛陽市河洛新業投資發展有限公司”(“河洛新業”或“丁方”)，公司、金隅城與旅遊產業基金、河洛新業四方簽署《股權轉讓及增資框架協議》，約定由棕櫚股份分別轉讓所持有的中豫洛邑30%的股權給旅遊產業基金、轉讓所持有的中豫洛邑10%的股權給河洛新業；由金隅城轉讓所持有的中豫洛邑40%的股權給旅遊產業基金。股權轉讓完成後，旅遊產業基金持有中豫洛邑70%股權，棕櫚股份、金隅城、河洛新業各持有中豫洛邑10%股權。
股權變更完成後，四方約定將中豫洛邑註冊資本由1億元增加至4億元，各方按持股比例同比例增資，其中旅遊產業基金增資2.1億元，棕櫚股份、金隅城、河洛新業各增資3000萬元。
此次增資擴股方之一的河南省豫資旅遊產業發展私募基金(有限合夥)由中原豫資投資控股集團有限公司(“豫資集團”)發起成立，豫資集團的下屬全資子公司河南省豫資城鄉一體化公司認繳出資19.98億元，佔該基金份額的79.20%；另一增資擴股方河洛新業是豫資集團持股51%的控股子公司，豫資集團同時持有本公司控股股東河南省豫資保障房管理運營有限公司100%股權，因此公司與前述增資擴股合作方構成關聯關係。
河南中豫洛邑建設發展有限公司經營範圍：土地整治服務，房地產開發經營，房地產信息諮詢服務，物業管理，自有住房租賃服務，市場調查，餐飲管理，酒店管理，票務代理服務，企業管理諮詢服務，文化藝術諮詢服務，組織文化藝術交流活動（不含演出），建材、五金產品、林木、花卉的銷售，會議及展覽展示服務。
四方將與洛陽市老城區人民政府簽署《時光洛邑特色商業小鎮（暫定名）項目投資合作協議》，中豫洛邑將作為“時光洛邑特色商業小鎮”項目的項目公司之一。公司此次通過轉讓中豫洛邑部分股權及各股東對其增資的形式，引入新的戰略投資者，是希望充分發揮各投資人的資金和資源優勢，促進項目後續的順利推進。
