博雲新材(002297.SZ)：擬882萬美元對參股公司霍尼韋爾博雲進行增資
格隆匯5月6日丨博雲新材(002297.SZ)公佈，2020年5月6日，公司第六屆董事會第八次會議審議通過了《湖南博雲新材料股份有限公司關於對參股公司進行增資的議案》。為了解決霍尼韋爾博雲航空系統(湖南)有限公司(“霍尼韋爾博雲”)持續運營及研發所需資金，確保國家C919大飛機重大專項的順利實施，以及根據公司與霍尼韋爾(中國)有限公司(“霍尼韋爾中國”)於2012年簽署的合資合同約定，公司擬使用自有資金882萬美元對霍尼韋爾博雲進行增資。
霍尼韋爾博雲為公司持股49%的重要參股子公司，霍尼韋爾博雲系C919大飛機的關鍵零部件配套供應商之一，其主要為C919大飛機配套研製生產機輪及剎車系統，鑑於：
1、根據霍尼韋爾中國與公司於2012年簽署的合資協議約定，霍尼韋爾博雲的總投資額為1.75億美元，註冊資金8000萬美元，此外，霍尼韋爾博雲在成立兩週年之前還額外需要1800萬美元用於業務經營(霍尼韋爾博雲成立於2012年10月)，該1800萬美元的資金來源方式有：
1)股東按持股比例增資；2)股東按持股比例提供相應的股東貸款；3)霍尼韋爾博雲對外借款，由股東按持股比例提供相應的擔保。由於霍尼韋爾博雲目前的財務狀況，其難以獲得第三方貸款且不具備到期還款能力，以股東增資的方式向霍尼韋爾博雲提供該1800萬美元資金較為可行；
2、截至2019年12月31日，霍尼韋爾博雲總資產28692.07萬元，淨資產5198.85萬元，為了解決霍尼韋爾博雲持續運營及研發所需資金，確保國家C919大飛機重大專項的順利實施；
因此，公司擬與合資方霍尼韋爾中國共同對參股公司霍尼韋爾博雲進行同比例增資，雙方增資金額合計1800萬美元，此次公司方的增資金額為882萬美元。增資完成後，公司對其持股比例不變。
霍尼韋爾博雲系C919大飛機的關鍵零部件配套供應商之一，為C919大飛機配套研製生產機輪及剎車系統，當前C919大飛機正處於試飛取證的關鍵階段，前期霍尼韋爾博雲為研製生產C919大飛機機輪及剎車系統已投入大量資金，公司及合資方首期注入的8000萬美元註冊資金預計在2020年將會使用完畢，公司及合資方霍尼韋爾中國本次擬對霍尼韋爾博雲共同注資1800萬美元，將能解決霍尼韋爾博雲近兩年內持續運營及研發所需資金，從而確保C919大飛機試飛及首批交付用户的順利實施，同時也將使得霍尼韋爾博雲在民用大飛機機輪剎車系統及碳盤的研製生產方面積累豐富的經驗，從而為霍尼韋爾博雲及博雲新材在爭取國家民用大飛機其他機型的研製生產及市場開拓方面奠定堅實的基礎。
