順豐控股(002352.SZ)：中郵智遞將成為豐巢開曼子公司 中郵智遞原股東將持豐巢開曼28.68%股權
格隆匯5月5日丨順豐控股(002352.SZ)公佈，公司原通過境內子公司深圳市順豐投資有限公司持有深圳市豐巢科技有限公司(“豐巢科技”)14.43%的股權。於2019年，豐巢科技基於其業務發展需要進行股權重組，豐巢科技境外融資平台Hive Box Holdings Limited(“豐巢開曼”)通過協議控制方式控制豐巢科技。重組后豐巢科技的股權結構沒有發生實質變化。公司通過境外子公司Radiant Beyond Limited(亮越有限公司)持有豐巢開曼13.67%的股權(考慮了員工股權激勵ESOP的攤薄影響)。
為了做大做強智能快遞櫃主業，整合行業優質資源，快速搶佔快遞物流最後一公里的優勢區位，向快遞員和消費者提供更加優質的服務，現豐巢開曼擬在智能快遞櫃市場進行重要佈局，豐巢開曼、豐巢開曼的子公司深圳市豐巢網絡技術有限公司(“豐巢網絡”)與中郵智遞科技有限公司(“中郵智遞”)及其股東中郵資本管理有限公司(“中郵資本”)、成都三泰控股集團股份有限公司(“三泰控股”)、浙江驛寶網絡科技有限公司(“浙江驛寶”)、深圳明德控股發展有限公司(“明德控股”)擬簽署一攬子交易協議。
此次交易完成後，中郵智遞原股東中郵資本、三泰控股、浙江驛寶、明德控股(以下合稱“原股東”或“減資方”)將減資退出中郵智遞，中郵智遞成為豐巢網絡的全資子公司，中郵智遞原股東(包括原股東指定的子公司)將有權認購豐巢開曼新發行的股份成為豐巢開曼的股東。公司非中郵智遞原股東，不參與此次豐巢開曼新增股份認購。中郵智遞原股東(包括原股東指定的子公司)行使認股權證後，公司對豐巢開曼的持股比例將從13.67%稀釋至9.75%。
鑑於此次一攬子交易涉及豐巢開曼的原股東放棄優先增資權，且公司控股股東明德控股作為中郵智遞的原股東有權認購豐巢開曼的部分股份，豐巢開曼為公司控股股東明德控股的境外子公司，根據《深圳證券交易所股票上市規則》等相關規定，明德控股、豐巢開曼為公司關聯方，故此次公司放棄參股公司優先增資權事項構成關聯交易。
此次豐巢開曼整合中郵智遞事項屬於定向收購行為，公司非中郵智遞原股東，不參與此次豐巢開曼新增股份認購。此次一攬子交易的定價在參考豐巢科技2018年6月股權轉讓的90億估值的基礎上，經豐巢開曼與中郵智遞原股東的友好協商確定，過程中綜合考慮了智能快遞櫃市場發展潛力、運營效率、雙方快遞格口數量等因素。此次交易完成後，中郵智遞將成為豐巢開曼的子公司，中郵智遞原股東將合計持有豐巢開曼28.68%股權。
此次公司放棄參股公司豐巢開曼的優先增資權，是綜合考慮此次交易對於豐巢開曼在智能快遞櫃市場佈局的重大影響而做出的審慎決策，此次交易有利於提高豐巢品牌的市場競爭力，有利於公司最後一公里無接觸配送戰略的加速實施，增強公司核心競爭力，符合公司的戰略發展。
