三泰控股(002312.SZ)：中郵智遞科技擬與豐巢科技進行重組
格隆匯5月5日丨三泰控股(002312.SZ)公佈，鑑於智能快遞櫃行業發展空間廣闊，為了推動行業及聯營子公司中郵智遞科技有限公司(“中郵智遞”)的長遠發展，向快遞員和消費者提供更加優質的服務，公司聯營子公司中郵智遞科技擬與深圳市豐巢科技有限公司(“豐巢科技”)進行重組。
公司與中郵智遞科技有限公司、中郵資本管理有限公司(“中郵資本”)、浙江驛寶網絡科技有限公司(“浙江驛寶”)、深圳明德控股發展有限公司(“明德控股”)、深圳市豐巢網絡技術有限公司(“豐巢網絡”)、HIVE BOX HOLDINGS LIMITED(“豐巢開曼”)擬就重組事項簽署一攬子協議(此次重組不包括廣告業務)，達成交易具體安排如下：
1)浙江驛寶擬向豐巢網絡轉讓中郵智遞0.1%的股權；
2)中郵智遞擬向除豐巢網絡以外的股東進行定向減資，減資完成後中郵智遞成為豐巢網絡的全資子公司。本次減資三泰控股退出股權的減資款為75555.5556萬元；
3)豐巢開曼擬向三泰控股全資子公司DAILU HOLDINGS LIMITED(“帶路開曼”)發行認股權證，三泰控股將全部減資款用於支付豐巢開曼的認股權證行權價款。完成認股權證行權後，三泰控股將通過全資子公司帶路開曼持有豐巢開曼6.65%的股權。
此次交易完成後，公司持有的中郵智遞股權全部轉換為豐巢開曼的股權，公司不再分攤中郵智遞和豐巢開曼的損益(2019年和2020年一季度，公司分攤中郵智遞的虧損分別為-17587萬元、-5406萬元)，公司的盈利情況將得到顯著改善。同時，根據截至2020年4月30日的財務數據測算，此次交易預計將為公司本年度貢獻投資收益39002萬元，具體以2020年審計報告數據為準。
智能快遞櫃業務具有典型的共享連鎖經濟特點，此次交易完成後豐巢科技與中郵智遞的規模效應將得到增強，有助於重組後的新主體進一步的降本提效，為快遞員和消費者提供更好的服務，公司在智能快遞櫃領域的佈局得到進一步加強，有利於公司對外投資的保值增值。同時，此次重組後的新主體隨着業務發展和證券化進程的不斷加快，估值有較大的提升空間，公司預計將持續取得一定的投資收益。
