君實生物(01877.HK)與紐交所上市公司禮來製藥將合作研發及商業化君實新冠抗體
格隆匯5月4日丨君實生物－Ｂ(01877.HK)發佈公告，近日，公司與美國禮來製藥公司簽署了《研發合作和許可協議》。根據協議，雙方將合作研發及商業化SARS-CoV-2中和抗體(“君實新冠抗體”，產品代號：JS016)，並且，禮來製藥將被授予在大中華地區(包括中國大陸、香港地區、澳門地區及台灣地區)外對君實新冠抗體開展研發活動、生產和銷售的獨佔許可。
協議主要內容包括公司授予禮來製藥在大中華地區外對君實新冠抗體開展研發活動、生產和銷售的獨佔許可。禮來製藥將向公司支付1000萬美元首付款，並在每一個君實新冠抗體(單用或組合)實現規定的里程碑事件後，向公司支付最高2.45億美元的里程碑款，外加該產品銷售淨額兩位數百分比的銷售分成。雙方將成立一個聯合指導委員會，以監督和協調君實新冠抗體的研發工作。公司將協同禮來製藥繼續推進君實新冠抗體的新藥臨牀試驗申請。
禮來製藥承諾將盡商業上合理的努力與公司進行協商，按照雙方同意的條款和條件，以7500萬美元認購公司新發行的H股股份。潛在認購尚待訂立一份正式認購協議，並達成訂立該正式協議所需的先決條件。

JS016是一款重組全人源單克隆中和抗體，特異性結合SARS-CoV-2表面刺突蛋白受體結構域，並能有效阻斷病毒與宿主細胞表面受體ACE2的結合。該項目由公司與中國科學院微生物研究所共同開發。
在新冠肺炎疫情爆發之初，公司迅速啟動了中和抗體的研發工作以抗擊疫情。在兩個月的時間內，公司利用自身的工藝平台完成了IND所需的臨牀前研究，用於GLP毒理研究的抗體工藝開發和生產，以及臨牀批次的抗體GMP生產。公司與禮來製藥計劃於2020年第二季度在美國遞交IND申請並啟動臨牀研究。同時，公司亦積極與國家藥品監督管理局藥品審評中心保持密切溝通，以期在國內儘快遞交IND申請。
公告表示，新冠疫情爆發以來，公司夜以繼日地投身於抗擊全球疫情的戰鬥中。本次與禮來製藥訂立協議，有利於公司在全球範圍內更快地推進君實新冠抗體的臨牀研究。同時，憑藉禮來製藥的聲譽和運營能力，該協議的簽署有望覆蓋並救治更大範圍的新冠肺炎患者，造福更廣泛的國家和地區。
