恆生電子(600570.SH):董事會批准恆生金融雲基地進行二期項目建設開發
格隆匯4月24日丨恆生電子(600570.SH)公佈,公司為了滿足公司業務發展、人員不斷增長的需求,於2016年9月13日召開了2016年第四次臨時股東大會,審議通過了《關於批准公司競拍土地並在後續進行項目建設開發的議案》,允許公司競拍一塊土地,並在競拍土地成功後,規劃建設恆生電子新大樓(現名“恆生金融雲基地”)。恆生金融雲基地整體規劃分兩期實施,一期投資規劃控制在12億元人民幣以內。恆生金融雲基地一期規劃的執行已於2017年7月20日動工,2019年底已完成主體結頂,計劃2020年底竣工,2021年5月份交付使用。
公司於2020年4月23日召開第七屆董事會第七次會議審議通過了《關於批準公司恆生金融雲基地進行二期項目建設開發的議案》,批准如下事項:
因分期開發、地下室擴建為三層和貸款利息原因,公司擬將二期項目投資規劃預算確定為控制在7億元人民幣以內。
本議案尚需提交公司股東大會審議批准,同時提請公司股東大會授權公司董事會在股東大會審議通過後批准如下事項:
①批准相關的建設投資方案。
②為新建辦公大樓項目進行相應金融機構對其提供建設貸款融資計劃,由商業銀行進行二期融資授信3億,採用土地證抵押,按在建工程項目進度分次提款。截至目前,公司沒有銀行貸款。
③批准公司自有資金的投入計劃。
④批准公司未來對建設用房的處置方案。
⑤批准其他合理的事項。
