金山軟件(03888.HK)擬發行31億港元換股債 換股價溢價27.5%
格隆匯4月24日丨金山軟件(03888.HK)公佈,公司已於2020年4月23日與經辦人訂立認購協議,據此,經辦人已同意待認購協議所載若干條件達成後個別而非共同認購及支付,或促使認購人認購及支付公司將發行的本金總額為31億港元的債券。債券可根據條件按初步換股價每股股份35.7637港元(可予調整)轉換成換股股份。
初步換股價每股股份35.7637港元較4月23日收市價28.05港元溢價約27.5%。按初步換股價每股股份35.7637港元計算,並假設債券按換股價悉數轉換,債券將可轉換成8668萬股股份,佔公司現有已發行股本約6.3%;及經悉數轉換債券後發行換股股份擴大已發行股本約5.9%。
認購債券所得款項淨額估計約30.34億港元。債券所得款項淨額擬用作一般公司用途、策略投資及收購(如適用)及補充營運資金。董事認為,發行債券可為公司提供較低融資成本的額外資金。
