首創置業(02868.HK)擬收購北京麗澤商務區地塊20%權益 總承擔不超11.08億元

格隆匯4月22日丨首創置業(02868.HK)宣佈,於2020年4月22日,公司全資附屬中瑞凱華及賣方金唐天潤訂立股權轉讓協議,內容有關中瑞凱華擬收購賣方持有的目標公司北京開創金潤置業20%股權。同時,中瑞凱華將提供款項給目標公司用於償還股東提供的資金。收購完成後,中瑞凱華將直接持有目標公司20%股權。目標公司主要從事該地塊開發及運營。

該地塊為賣方及合作方(包括北京宸茂、首都開發與北京潤置)於2017年5月18日通過公開競買方式取得北京市豐台區麗澤金融商務區南區D-07、D-08地塊F3其他類多功能用地項目,並於2018年1月22日將該項目開發建設主體換籤為聯合體按聯合競買協議約定比例成立的目標公司,佔地面積73,911.326平方米。土地出讓金為人民幣43.4億元。

根據股權轉讓協議,中瑞凱華將以人民幣147.25萬元收購賣方持有的目標公司20%股權,並將按目標公司章程約定承擔目標公司人民幣1250萬元的註冊資本繳付義務。同時,中瑞凱華將向目標公司提供資金,以供其償還20%股權比例對應的股東提供的資金及相應利息,金額不超過人民幣10.94億元。據此,中瑞凱華對收購目標公司的總承擔將不超過人民幣11.08億元。

有鑑於首創中心項目的成功開發建設,公司擬透過收購目標公司20%股權參與該地塊的開發,與華潤、金茂、首開等一線地產公司及屬地有實力的地產公司金唐聯手,打造繼首創中心項目之後麗澤商務區的第二個綜合體項目,豐富公司的城市核心綜合體業務佈局。
