音飛儲存(603066.SH)：陶文旅集團將成為公司控股股東 景德鎮市國資委將成為公司實控人
格隆匯4月22日丨音飛儲存(603066.SH)公佈，公司於近日收到公司控股股東江蘇盛和投資有限公司(“盛和投資”)及其一致行動人上海北頊企業管理中心(有限合夥)(“上海北頊”)通知，盛和投資及上海北頊於2020年4月22日與陶文旅集團簽署了《股份轉讓協議》，盛和投資和金躍躍於2020年4月22日簽署了《表決權放棄承諾函》。
《股份轉讓協議》約定，盛和投資擬通過協議轉讓方式，將其持有的上市公司6205.58萬股股份(約佔上市公司總股本的20.64%)轉讓給陶文旅集團；上海北頊擬通過協議轉讓方式，將其持有的上市公司2812.5萬股股份(約佔上市公司總股本的9.35%)轉讓給陶文旅集團。盛和投資及上海北頊合計轉讓上市公司9018.08萬股股份(約佔上市公司總股本的29.99%)給陶文旅集團。
同時，盛和投資、金躍躍簽署了《表決權放棄承諾函》，承諾上述股份轉讓完成後盛和投資將不可撤銷地放棄行使其持有的上市公司部分股份對應的表決權，需放棄表決權的股份比例根據“陶文旅集團持有的上市公司股份比例減去盛和投資及金躍躍持有的上市公司股份比例”與“15%”之間的差額確定。
此次交易完成後，上海北頊不再持有上市公司股份，盛和投資持有上市公司7069.12萬股股份，占上市公司股本總額的23.51%，同時在各方股份轉讓完成後持股沒有變化的前提下，盛和投資將放棄其持有的上市公司2561.58萬股份(占上市公司股本總額的8.52%)對應的表決權，盛和投資控制上市公司4507.54萬股份對應的表決權，占上市公司股本總額的14.99%；陶文旅集團將持有上市公司9018.08萬股有表決權股份(約佔上市公司總股本的29.99%)，公司控股股東將由盛和投資變更為陶文旅集團，實際控制人將由金躍躍變更為景德鎮市國有資產監督管理委員會。
