聯合集團(00373.HK)擬溢價34.3%私有化聯合地產(00056.HK) 21日復牌
格隆匯4月20日丨聯合集團(00373.HK)、聯合地產(00056.HK)發佈公告，於2020年4月9日，要約人陽山投資有限公司（為聯合集團直接全資附屬公司）要求聯合地產董事會向計劃股東提呈該建議，當中將涉及建議根據公司條例第673條以協議安排方式私有化聯合地產；及待該計劃根據其條款及條件成為具約束力及效力後，聯合地產向於記錄日期名列聯合地產股東名冊的計劃股東派付計劃股息。於最後交易日，聯合集團直接及間接持有聯合地產已發行股份總數約74.996%。
該建議將規定計劃股份被註銷，作為交換，計劃股東獲支付總價格每股計劃股份1.92港元（較4月9日收市價每股1.43港元溢價約34.3%），當中包括要約人將就每股計劃股份以現金支付的計劃代價0.42港元；及聯合地產將就每股聯合地產股份以現金支付的計劃股息1.50港元。
於該建議完成後， 聯合地產已發行股本將於生效日期透過註銷及終絕計劃股份而削減。緊隨此削減後，聯合地產已發行股本將透過向要約人發行數目與已註銷的計劃股份相等的已入賬列作繳足的新聯合地產股份，增加至其原先的數額；聯合集團將直接及間接擁有聯合地產已發行股份數總100%；及聯合地產將根據上市規則第6.15條於緊隨生效日期後向聯交所申請撤銷聯合地產股份在聯交所的上市地位。
聯合集團表示，聯合地產股權於該建議完成後的全面合併將能為聯合集團帶來對聯合地產最大的營運及財務控制權，並使聯合集團的整體組織結構更為高效及更具成本效益。在聯合地產不具上市地位的情況下，聯合集團將能夠靈活地管理聯合地產的業務並將聯合地產若干現有業務納入聯合集團。鑑於維持聯合地產上市地位的行政及合規成本不斷增加，聯合集團董事會認為，實行該建議將有助聯合集團將管理層的時間及財務資源集中於聯合地產及聯合集團的核心業務。
此外，聯合集團及聯合地產將於2020年4月21日復牌。
