國中水務(600187.SH)：子公司下屬污水處理廠收到接管運行管理的函
格隆匯4月20日丨國中水務(600187.SH)公佈，公司於2020年4月19日收到秦皇島市城市管理綜合行政執法局“關於市政府接管市第四污水處理廠運行管理的函”。函件內容如下：
“國中水務股份有限公司：
我市第四污水處理廠是貴公司於2002年11月份中標，以BOT模式建設、運營的污水處理廠。開始運行的前幾年，貴公司克服多種困難為秦皇島市污水處理事業作出了很大貢獻。但近幾年來，污水處理廠運行一直處於不穩定狀態，每年均有出水超標排放發生，在我局多次督導、幫助下，污水處理廠運行管理整改效果仍未有根本性改變，並呈現惡化趨勢，一定程度上影響我市生態環境建設和城市運行安全，存在不確定的安全隱患。為避免嚴重環境污染事件發生，產生不良社會影響，根據當前形勢，我局代表市政府於4月20日24:00開始接管市第四污水處理廠。請貴公司做好交接所必須的下列工作：1、派專人聯繫移交事宜並參加移交工作；2、按本項目BOT合同內容準備移交資料；交接後洽商貴公司的合理訴求。”
秦皇島市第四污水處理廠是公司下屬子公司國中(秦皇島)污水處理有限公司(“秦皇島污水”)投資建設、運營的唯一一家污水處理廠，秦皇島污水注冊資本1250萬美元，法定代表人陳博，經營範圍：建設、經營並維護污水處理廠等環境保護工程：並提供相關的技術諮詢服務。公司直接持有秦皇島污水91.82%股權，同時通過全資子公司國中水務香港有限公司間接持有秦皇島污水8.18%股權。秦皇島污水每次排水超標均為污水處理廠進水嚴重超出設計標準所致，致使污水處理系統遭受嚴重破壞，此前公司已多次書面提請當地環保部門展開調查。
此次來函僅代表秦皇島市城市管理綜合行政執法局單方面安排，公司高度重視秦皇島市政府的意見和建議，配合對秦皇島污水的運營進行監管。但從維護廣大股東的權益的原則出發，已要求相關單位在未釐清事實前不採取進一步的接管措施。
截至2019年12月31日，秦皇島污水資產總額2.8億元，負債總額1.9億元，資產淨額9023.22萬元，2019年度營業收入4783.01萬元，淨利潤-723.49萬元(以上數據經審計)。
