格隆汇4月19日丨绿城中国(03900.HK)宣布,于2020年4月19日,公司全资附属绿城房地产集团有限公司、卖方新湖中宝股份有限公司、目标公司浙江启丰、金谷置业、沈阳新湖明珠置业有限公司(连同金谷置业统称为"项目公司")及阳新湖订立股份转让及项目合作协议。据此,买方同意收购目标公司股份总数的100%,而买方应付卖方交易价款总额为人民币3.79亿元,当中包括股份转让代价人民币1.86亿元,及买方向项目公司提供人民币1.93亿元的贷款,作为财务资助。

于协议日,各项目公司及阳新湖均由卖方实际持有100%股权,目标公司及阳新湖分别持有项目公司35%及65%股权。订立协议主要旨在载列与卖方(间接通过阳新湖)合作发展项目公司的条款。据此,各订约方须按照买方持有35%(间接通过目标公司)及卖方持有65%(间接通过阳新湖)的比例共享项目公司的利益及分担风险。项目公司目前于中国沈阳营运三个房地产开发项目。

待协议中的先决条件达成后,收购事项将于向相关政府机关完成目标公司股东变更注册后落实。于收购事项完成后,买方将(通过目标公司)间接享有和承担项目公司应占权利及义务的35%。

董事会认为,收购事项将有助于集团间接参与项目公司目前营运的三个房地产开发项目(即(i)位于中国沈阳的仙林金谷项目,总建筑面积约为589,015.07平方米;(ii)位于中国沈阳的新湖湾项目,总建筑面积约为187,420.87平方米;及(iii)位于中国渖阳的新湖美丽洲项目,总建筑面积约292,527.28平方米),充分依托卖方集团在中国渖阳的丰富开发和运营经验,为集团在中国进一步多元化发展房地产开发业务提供更多机会。

据悉,卖方为于中国成立的有限公司,其股份於上海证券交易所上市(股票代码:600208),同时是沪深300指数成份股,其主要于中国从事商业,物业和金融业务。集团与卖方集团将努力不时探索在各类项目中开展业务合作的机会,特别是在集团日常及一般业务涉及的中国房地产领域。集团亦将适时积极探索与卖方集团进行更广泛、深入的业务合作。
