美錦能源(000723.SZ)：擬投建氫燃料電池動力系統及氫燃料商用車零部件生產項目(一期一階段)
格隆匯4月19日丨美錦能源(000723.SZ)公佈，根據公司的戰略發展規劃，公司全資子公司山西美錦氫能科技有限公司(“氫能科技”)計劃對外投資氫燃料電池動力系統及氫燃料商用車零部件生產項目(一期一階段)，項目內容包括年產5000套氫燃料電池動力系統、50萬KW氫燃料電池電堆生產能力以及辦公、研發、共用動力等相關配套設施；該項目一期一階段投資額約15.02億元。
此次對外投資已經公司第八屆四十二次董事會審議通過，按照相關法規規定及現行公司章程關於投資項目審議權限的規定，該議案經董事會審議通過後，無須提交股東大會審議。
公司是國內最大的商品焦生產企業之一，在煉焦過程中富產大量的氫氣，氫氣在焦爐煤氣中含量達55%，對發展氫能產業具有強協同效應。山西省是資源大省，焦化是支柱產業之一，具有大批量低成本制氫的獨特優勢。這是公司發展氫能產業在山西省佈局重要考量之一。山西省作為全國首個開展能源革命綜合改革試點，環境治理迫切，正在實施藍天保衞戰，出台政策大力支持和發展氫能源產業。山西省是重卡車比較集中的地區，公司研發的氫能重卡能量密度大，動力強，非常適合重載長距運輸。同時在山西省發展氫能產業，可以立足山西，輻射京津冀和中原腹地，在山西綜改區晉中開發區實施氫燃料電池動力系統及氫燃料商用車零部件生產項目(一期一階段)，將充分利用公司工業廢氣富產氫的地理優勢，以及公司在氫能領域產業鏈的全方位佈局優勢，有助於優化公司產業結構，實現主營業務轉型，滿足市場需求，有利於提高公司經濟效益，進一步拓展公司業務發展空間，推動公司可持續發展，同時為山西省爭當全國能源革命排頭兵貢獻力量。
此次投資可以有效完善公司氫能產業戰略佈局，推動公司“產業鏈+區域+綜合能源站網絡”三維發展，對公司財務狀況和經營成果有積極影響，不存在損害公司及其他股東合法利益的情形，符合全體股東的利益和公司長遠發展戰略。
