中際旭創(300308.SZ)擬約3.84億元購買儲翰科技67.19%股權
格隆匯4月17日丨中際旭創(300308.SZ)公佈，2020年4月17日，公司與儲翰科技的相關股東簽署了《關於成都儲翰科技股份有限公司之股份轉讓協議》，公司擬以約3.84億元現金向王勇等83名交易對手方購買其合計持有的成都儲翰科技股份有限公司(儲翰科技)67.19%的股權。同日，公司與王勇、王雅濤、冀明、周德國、曾雪飛、魏明等6名交易對手簽訂《業績承諾及利潤補償協議》、《股份質押合同》及《股東表決權委託協議》。此次交易完成後，儲翰科技將成為公司的控股子公司，納入公司合併範圍。
儲翰科技是一家專業從事通信類光電器件產品研發、生產與銷售的企業。光電器件是光纖通信接入網、傳輸網、數據中心和4G/5G移動通信等通信系統的核心器件，承擔着將電信號轉化為光信號和將光信號轉化為電信號的功能，產品廣泛應用於電信、數據通信、有線電視、高清視頻圖像傳輸、監控和工業控制通信等領域。
儲翰科技產品從原來以光電器件組件為核心，進行產業鏈的垂直整合，向上延伸到芯片封裝業務，向下延伸到光電模塊業務，構建了從芯片封裝、光電器件組件、光電模塊為主的較為完整的光電器件產業鏈。儲翰科技較為完整的光電器件產業鏈可以根據用户的需求提供多元化的產品方案，同時在成本控制方面更具優勢。
在產品製造方面，儲翰科技通過自主研發的自動化設備建設了關鍵工序的自動化生產平台，提升了生產效率，提高了產品質量，降低了生產成本，形成了一定的競爭優勢。
儲翰科技的主要客户是光通信行業的運營設備供應商、終端設備製造商和光纖通信用光電模塊製造商，儲翰科技主要通過直銷方式面對客户銷售光電器件組件、光電模塊產品獲取收益。
此次通過購買儲翰科技67.19%股權，儲翰科技將納入上市公司合併範圍，成為上市公司的控股子公司。此次交易完成後，有利於推動上市公司業務拓展，完善公司在產業鏈的佈局，發揮協同效應，增強公司的核心競爭力，對財務方面也能產生積極影響，同時可以獲得優秀的經營管理、研發及營銷團隊，為公司業務發展積累更多人才。
