翠微股份(603123.SH)：公司對藍天基金不形成控制 藍天基金亦對安鵬融智不形成控制
格隆匯4月16日丨翠微股份(603123.SH)公佈，公司關注到，近日中華網財經、中國網財經等媒體報道了公司參與設立芯片合資公司的事宜，投資者在股吧中也多有談及或問詢，為使投資者瞭解相關信息，現將合資合作的情況進行説明。
2020年3月31日，公司與深圳安鵬融智車芯投資合夥企業(有限合夥)(“安鵬融智”)、Imagination Technologies Limited、上海朋尼技術服務合夥企業(有限合夥)共同簽署了《合資經營企業合同》，發起設立“北京核芯達科技有限公司”(“核芯達”、“合資公司”)，主要從事智能網聯汽車芯片領域技術研發，註冊資本為5000萬元，公司參與出資505萬元，佔註冊資本的10.1%。
目前，核芯達已完成在北京市海淀區市場監督管理局的註冊登記並取得《營業執照》。具體登記信息如下：名稱為北京核芯達科技有限公司；經營範圍：技術開發、技術諮詢、技術轉讓、技術推廣、技術服務；軟件開發；應用軟件服務；基礎軟件服務；計算機系統服務；自然科學研究與試驗發展；工程和技術研究與試驗發展；農業科學研究與試驗發展；醫學研究與試驗發展。
股東構成：深圳安鵬融智車芯投資合夥企業(有限合夥)出資持股30%，Imagination Technologies Limited出資持股19.9%，上海朋尼技術服務合夥企業(有限合夥)出資持股40%，北京翠微大廈股份有限公司出資持股10.1%。
其中：安鵬融智由北京汽車集團有限公司旗下北京汽車集團產業投資有限公司控股的江蘇安鵬投資管理有限公司作為基金管理人發起設立，北京融智翠微藍天股權投資基金管理中心(有限合夥)(“藍天基金”)作為安鵬融智的有限合夥人認繳出資1300萬元佔總規模的86.09%，公司對藍天基金不形成控制，藍天基金亦對安鵬融智不形成控制。
