吉林敖東(000623.SZ)：擬將對開曼海創的股權投資變為向海創藥業發放股權投資同等金額的可轉債
格隆匯4月15日丨吉林敖東(000623.SZ)公佈，公司於2020年4月15日召開第九屆董事會第二十一次會議審議通過了《關於對外投資變更的議案》，根據公司戰略發展規劃，公司擬將對Hinova Pharmaceuticals,Inc.(“開曼海創”)的股權投資變更為向成都海創藥業有限公司(“海創藥業”)發放股權投資同等金額的可轉債貸款(“可轉債”)，並在此後自動轉換為向海創藥業的增資。
公司於2019年12月20日召開第九屆董事會第十九次會議審議通過了《關於對外投資的議案》，根據公司戰略發展規劃, 公司以500萬美元對開曼海創進行股權投資，具體情況如下：於2019年12月20日與開曼海創等簽訂了《SERIES B PREFERRED SHARES PURCHASE AGREEMENT》(“《B輪優先股份認購協議》”)，根據協議，公司以自有資金500萬美元按每股2.28494美元的價格認購218.8244萬股開曼海創發行的B輪優先股，佔開曼海創總股本的1.57%(最終比例以開曼海創實際到位資金金額及其登記確認為準)。
開曼海創是一家根據開曼羣島法律正式註冊成立的獲豁免公司(exempted company), 在美國、澳大利亞等地設有分支機構，其全資子公司海創藥業是一家總部坐落於中國成都，面向海外和中國市場開展新藥研究及產業化的創新藥物企業，海創藥業是國家高新技術企業。根據此前公司與開曼海創協商及海創藥業的戰略規劃，公司擬直接投資開曼海創並間接持有海創藥業股權。
後考慮到未來資本運作的方案變化，海創藥業擬進行重組，為此海創藥業安排原開曼海創層面的境外B輪、B+輪投資在海創藥業層面直接持股。
公告顯示，海創藥業是國家高新技術企業，總部坐落於中國成都，面向全球市場開展新藥研究及產業化。海創藥業依託全球領先的氘代、PROTAC、前列腺癌症藥物研發等技術平台，開發具有廣闊市場潛力的重大新藥品種，目前有包括治療前列腺腫瘤、乳腺腫瘤、痛風等疾病的多個創新藥物處於臨牀和臨牀前不同研究階段。已建立了包括藥物化學、生物篩選、工藝研究、質量研究、註冊申報、臨牀研究、生產外包等完整藥物研發和產業化體系。
海創藥業現有產品管線中，HC-1119(抗去勢抵抗性前列腺癌新藥)已經啟動全球多中心臨牀III期試驗；HP501(抗痛風和高尿酸血癥新藥)已於2019年完成中國I期臨牀試驗，2020年完成中國II期試驗並啟動III期臨牀試驗。海創藥業已申請PCT和中國發明專利超過100項，獲得中國、美國、日本、歐洲等國家和地區專利授權近30餘項，並擁有2項國家重大專項。
公司此次對外投資目的主要是對海創藥業的新藥研發能力的認可，海創藥業及其關聯公司自主研發的前列腺癌藥物HC-1119的研發能力較強、研發經驗豐富，有利於公司加強同創新藥物研發平台的研究與合作。
