比亞迪股份(01211.HK)：全資子公司重組並擬引入戰略投資者
格隆匯4月14日丨比亞迪股份(01211.HK)公佈，公司近期通過下屬子公司間的股權轉讓、業務劃轉完成了對全資子公司深圳比亞迪微電子有限公司(以下簡稱"比亞迪微電子"，現已更名為"比亞迪半導體有限公司")的內部重組。通過內部重組，比亞迪微電子受讓寧波比亞迪半導體有限公司100%股權和廣東比亞迪節能科技有限公司100%股權，並收購惠州比亞迪實業有限公司智能光電、LED光源和LED應用相關業務。
根據內部重組後比亞迪微電子的業務範圍及未來的戰略發展定位，比亞迪微電子已於近期正式更名為比亞迪半導體有限公司(以下簡稱"比亞迪半導體")。
比亞迪半導體主要業務覆蓋功率半導體、智能控制IC、智能傳感器及光電半導體的研發、生產及銷售，擁有包含芯片設計、晶圓製造、封裝測試和下游應用在內的一體化經營全產業鏈。經過十餘年的研發積累和於新能源汽車領域的規模化應用，比亞迪半導體已成為國內自主可控的車規級IGBT領導廠商。同時，在工業級IGBT領域，比亞迪半導體的產品下游應用包括工業焊機、變頻器、家電等，將為其帶來新的增長點。在其他業務領域，比亞迪半導體也擁有多年的研發積累、充足的技術儲備和豐富的產品類型，與來自汽車、消費和工業領域的客户建立了長期緊密的業務聯繫。未來，比亞迪半導體將以車規級半導體為核心，同步推動工業、消費等領域的半導體發展，致力於成長為高效、智能、集成的新型半導體供應商。
比亞迪半導體擬以增資擴股等方式引入戰略投資者。截至公告披露日，此次擬引入戰略投資者尚處於籌備階段，尚未簽訂具有法律約束力的協議或安排。
此次對比亞迪半導體的內部重組是公司根據自身戰略定位及未來發展規劃，對公司半導體業務的深度整合和聚焦，將使公司半導體業務在獨立運營下獲得更快發展。
比亞迪半導體擬引入戰略投資者，多元化股東結構，提升公司獨立性並助力第三方客户拓展，同時，擴充其資本實力，實現產能擴張，加速業務發展。
此次擬引入戰略投資者完成後，比亞迪半導體將仍為公司的控股子公司。未來，比亞迪半導體將強化市場需求導向，積極拓展外部市場訂單，加速公司發展，把握中國半導體產業崛起的機遇。同時，比亞迪半導體將充分利用資本市場融資平台，積極尋求於適當時機獨立上市，建立獨立的資本市場平台和市場化的激勵機制，激發公司活力，助力業務不斷做大做強。
此次擬引入戰略投資者是比亞迪企業市場化進程的重要里程碑，公司將繼續加快推進其他下屬子公司業務的市場化，充分釋放比亞迪下屬子公司市場潛力，提升公司整體價值。
