國瓷材料(300285.SZ)擬與東營銘朝及青雲投資共設愛爾創數字口腔
格隆匯4月13日丨國瓷材料(300285.SZ)公佈，公司擬與東營銘朝股權投資合夥企業(有限合夥)(“東營銘朝”)、深圳青雲投資服務合夥企業(有限合夥)(“青雲投資”)共同出資設立合資公司深圳愛爾創數字口腔有限公司(“愛爾創數字口腔”)。合資公司註冊資本1億元人民幣，公司擬以全資子公司遼寧愛爾創數字口腔技術有限公司(“遼愛數字口腔”)100%股權作價1500萬元及貨幣5200萬元合計出資6700萬元，佔合資公司註冊資本的67%。
深圳愛爾創數字口腔有限公司經營範圍：一般經營項目：口腔科設備及器具、口腔科材料的技術開發、技術諮詢及銷售；口腔清潔用品的技術開發、技術諮詢及銷售；衞生材料及醫藥用品的技術開發、技術諮詢；醫療科技領域、生物醫療領域內的技術諮詢、技術開發、技術服務、技術轉讓；健康和醫療的技術引進、研發、諮詢及技術轉讓；數控加工設備、數字信息技術產品、電子設備的技術開發、技術諮詢及銷售；機械設備、家用電器、電子元器件、電子產品、計算機、軟件及輔助設備、化粧品及衞生用品、日用品、衞生潔具、陶瓷製品、橡膠及塑料製品的銷售；經營電子商務；機械設備租賃(不含金融租賃)；從事廣告業務；國內貿易；經營進出口業務。(以上不含限制項目)許可經營項目：口腔清潔用品的製造；衞生材料及醫藥用品的製造及銷售(不含限制項目)；一類、二類、三類醫療器械的銷售；醫療服務；醫療信息管理與諮詢服務；醫療技術研究及應用；經營性互聯網信息服務；勞務派遣。
根據《“健康中國2030”規劃綱要》、《健康口腔行動方案(2019—2025年)》方案內容及指導思想，結合國家經濟和社會發展的長遠戰略需要，致力於完善口腔健康服務體系建設，充分發揮市場在口腔健康領域配置資源的作用，推動數字化口腔產品及服務在口腔醫療機構中的應用，提高服務效率、擴大服務範圍和規模、集成口腔服務產業鏈，為口腔健康產業發展提供動力。
立足於數字口腔科技發展和臨牀診療需求，提高修復、種植、生物3D打印等口腔高端器械材料在臨牀診療過程的使用及服務效率，推動前沿口腔診療技術發展，支持口腔診療機構提高產業鏈信息化發展，構建適合社會發展的數字口腔新型業務模式，通過網絡綜合服務實現醫療資源的網絡共享，整合口腔健康產業，提高國民口腔健康水平。
此次投資符合公司的發展戰略，進一步深化在生物醫療行業發展，佈局口腔臨牀業務。構建材料提供、產品製造、創新服務的新模式。創新公司、員工合作方式，有利於公司穩定發展，增強公司可持續發展的能力。對公司未來發展產生積極影響。
