恆銘達(002947.SZ)擬推680.95萬份股票期權與限制性股票激勵計劃
格隆匯4月13日丨恆銘達(002947.SZ)披露2020年股票期權與限制性股票激勵計劃(草案)，該激勵計劃擬向激勵對象授予權益總計680.95萬份，佔該激勵計劃簽署時公司股本總額1.22億股的5.60%。其中首次授予權益550.95萬份，佔該激勵計劃簽署時公司股本總額1.22億股的4.53%，佔該激勵計劃擬授予權益總數的80.91%；預留授予權益130萬份，佔該激勵計劃簽署時公司股本總額1.22億股的1.07%，佔該激勵計劃擬授予權益總數的19.09%。預留授予的權益未超過本次擬授予權益總額的20%。
(1)股票期權激勵計劃：公司擬向激勵對象授予的股票期權總量為87.05萬份，佔該激勵計劃簽署時公司股本總額1.22億股的0.72%。其中首次授予37.05萬份，佔該激勵計劃簽署時公司股本總額1.22億股的0.30%，佔擬授予股票期權總數的42.56%；預留50.00萬份，佔該激勵計劃簽署時公司股本總額1.22億股的0.41%，佔擬授予股票期權總數的57.44%。每份股票期權賦予激勵對象在滿足行權條件的情況下，在可行權日以行權價格購買1股公司股票的權利。
(2)限制性股票激勵計劃：公司擬向激勵對象授予593.90萬股公司限制性股票，佔該激勵計劃簽署時公司股本總額1.22億股的4.89%。其中首次授予513.90萬股，佔該激勵計劃簽署時公司股本總額1.22億股的4.23%，佔擬授予限制性股票總數的86.53%；預留80.00萬股，佔該激勵計劃簽署時公司股本總額1.22億股的0.66%，佔擬授予限制性股票總數的13.47%。
該激勵計劃的激勵對象為公司董事、高級管理人員、公司(含控股子公司)中層管理人員及核心技術(業務)骨幹，不包括獨立董事和監事，亦不包括持股5%以上的主要股東或實際控制人及其配偶、父母和子女。該激勵計劃首次授予的激勵對象總人數為162人。
