恆邦股份(002237.SZ)擬對2020年度A股定增方案進行調整 僅與江西銅業、滕偉共2名特定對象重新簽署認購協議
格隆匯4月12日丨恆邦股份(002237.SZ)公佈，公司於2020年2月24日召開第九屆董事會2020年第一次臨時會議，審議通過了《關於公司與特定對象簽署附條件生效的股份認購協議的議案》，同意公司就江西銅業股份有限公司(“江西銅業”)、山東恆邦冶煉股份有限公司2020年度員工持股計劃、滕偉、錦繡中和(天津)投資管理有限公司(代“中和資本耕耘1號私募證券投資基金”、“中和錦繡651號私募證券投資基金”、“中和錦繡652號私募證券投資基金”)、長和(天津)投資管理有限公司(代“長和錦繡566號私募定增投資基金”、“長和錦繡568號私募定增投資基金”)、嘉興辛未中和投資合夥企業、嘉興長潤中和投資合夥企業、舒鈺強、銀灃股權投資基金管理(上海)有限公司(代“銀灃優選成長股權投資合夥企業”)、上海金浦國調併購股權投資基金合夥企業、上海金浦創新股權投資管理有限公司(代“啟東金浦國調併購股權投資合夥企業”)、上海盛律投資管理有限公司(代“上海盛律錦恆私募證券投資基金”、“上海盛律錦邦私募證券投資基金”)、珠海橫琴盛世績恆投資基金合夥企業(有限合夥)、上海同安投資管理有限公司(代“同安定增保8號私募證券投資基金”)、前海開源基金管理有限公司、財通基金管理有限公司、常州投資集團有限公司、北京江銅有鄰資產管理有限公司(代“北京有鄰金指投資中心”)共18名特定對象以現金認購公司非公開發行的A股股票事宜，與上述特定對象分別簽署了《附條件生效的股份認購協議》。
由於監管政策發生變化，公司擬對2020年度非公開發行A股股票方案進行調整。2020年4月12日，公司召開第九屆董事會2020年第二次臨時會議審議通過《關於公司與特定對象簽署附條件生效的股份認購協議之終止協議的議案》及《關於公司重新與滕偉、江西銅業簽署附條件生效的股份認購協議的議案》，同意公司與前述18名特定對象分別簽署《附條件生效的股份認購協議之終止協議》並與江西銅業、滕偉共2名特定對象重新簽署《附條件生效的股份認購協議》。
發行價為10.57元/股；公司此次非公開發行股票數量不超過2.7312億股(含2.7312億股)，不超過此次發行前公司股本總額的30%。據此，江西銅業以現金方式認購約2.3761億股(含約2.3761億股)股票；滕偉以現金方式認購3550.56萬股(含3550.56萬股)股票。
