證監會決定對杭可科技(688006.SH)採取1年內不接受發行人公開發行證券相關文件的行政監督管理措施
格隆匯4月12日丨杭可科技(688006.SH)公佈，公司於2020年4月10日收到中國證監會《關於對浙江杭可科技股份有限公司採取1年內不接受發行人公開發行證券相關文件的監管措施的決定》，現將具體情況公告如下：
一、決定書內容
浙江杭可科技股份有限公司：
經查，我會發現你公司在申請科創板首次公開發行股票過程中，招股説明書中信息披露存在以下問題：
一、未披露暫停執行合同情況及可能由此導致的存貨跌價準備的風險、相關預付款披露有誤。2018年12月，比克動力暫停四期項目合同，招股説明書未予披露，且比克動力四期合同預付款合計1600萬元，佔合同金額比例為15%，與招股説明書披露該項合同預付款30%不一致。
二、未披露比克動力應收票據到期無法承兑的情況。2018年10月至2019年6月期間，比克動力共12筆商業承兑匯票、合計11692.7萬元到期未能承兑，其中4460萬元已通過電匯等支付，其餘7232.7萬元尚未支付，上述情形與招股説明書披露不符。
上述行為違反《科創板首次公開發行股票註冊管理辦法(試行)》(證監會令第153號)第三十四條的有關規定，按照《科創板首次公開發行股票註冊管理辦法(試行)》第七十四條的有關規定，我會決定對你公司採取1年內不接受發行人公開發行證券相關文件的行政監督管理措施。
如果對本監督管理措施不服，可以在收到本決定書之日起六十日內向我會提出行政複議申請，也可以在收到本決定書之日起六個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監督管理措施不停止執行。
二、整改措施
公司收到監管措施的決定後，高度重視其中指出的相關問題，公司及相關人員亦將認真吸取經驗教訓，組織相關人員加強對《上市公司治理準則》、《上市公司信息披露管理辦法》以及其他相關法律、法規的學習，不斷提高公司信息披露質量，維護公司及全體股東利益，促進公司健康、穩定和持續發展。
