耐威科技(300456.SZ)：半導體業務已成為核心主要業務 證券簡稱擬變更為“賽微電子”
格隆匯4月10日丨耐威科技(300456.SZ)公佈，公司於2020年4月10日召開的第三屆董事會第三十六次會議，審議通過了《關於擬變更公司全稱、證券簡稱、經營範圍並修訂<公司章程>的議案》，同意公司根據經營活動的實際情況，為滿足公司發展需要，體現公司戰略發展佈局，變更公司名稱、證券簡稱及經營範圍並相應修訂《公司章程》。
變更前，公司中文名稱為北京耐威科技股份有限公司，英文名稱為NAVTECH INC.，英文縮寫為NAVTECH，證券簡稱為耐威科技；
變更後，公司中文名稱為北京耐威科技股份有限公司，英文名稱為Sai MicroElectronics Inc.，英文縮寫為SMEI，證券簡稱為賽微電子；
經營範圍，變更前為技術開發、技術服務；製造電子計算機軟硬件；銷售通訊設備及其系統軟件、計算機軟件、電子計算機及其輔助設備、電子元器件；貨物進出口，技術進出口，代理進出口；
變更後為微電子、半導體、集成電路及相關產品的研究、設計、生產、銷售；技術開發、技術服務、技術諮詢；製造電子計算機軟硬件；銷售通訊設備及其系統軟件、計算機軟件、電子計算機及其輔助設備、電子元器件；貨物進出口，技術進出口，代理進出口；股權投資；投資管理。
2019年，公司MEMS業務收入及利潤貢獻佔比均已超過70%，半導體業務已成為公司核心主要業務，為了更加貼合公司經營實際，更好地體現公司的產業佈局及戰略發展定位，使得公司名稱更加符合上市公司的狀況，擬對公司名稱、證券簡稱及經營範圍進行變更。公司此次擬變更公司全稱、證券簡稱及經營範圍符合公司實際經營情況和業務發展需要，符合公司的根本利益，不會對公司經營業績產生重大影響，不存在損害公司和股東利益的情形。本次變更事項符合相關法律法規及《公司章程》、《創業板信息披露業務備忘錄第24號—變更公司名稱》等文件的相關規定。
