聯想控股(03396.HK)出售兩間附屬公司股權
格隆匯4月9日丨 聯想控股(03396.HK)宣佈，於2020年4月9日，公司間接擁有的附屬考拉金科擬向拉卡拉出售廣州眾贏維融100%股權，代價約為人民幣19.09億元；及公司擁有51%權益的附屬考拉科技、公司全資附屬聯投企慧及深圳眾贏科技的其他股東同意出售及拉卡拉同意購買深圳眾贏科技100%股權，代價約為人民幣2.07億元。
廣州眾贏維融是一家網絡技術研究與開發的公司，主要通過其全資子公司廣州拉卡拉小貸開展互聯網小額貸款業務。廣州拉卡拉小貸依託互聯網，致力於發展、完善、推廣普惠金融產品，為廣大中小微企業、商户、個人等提供高效、安全、優質的金融服務，支持實體經濟發展。目前小微企業和個體工商户佔比70%左右，貸款產品主要有"易分期"、"商户貸"和"小微抵押貸款"三類。
深圳眾贏科技是一家技術驅動的金融科技公司，藉助大數據、雲計算、人工智能等技術，研發了行業領先的智能風控系統、反欺詐識別等系統，向銀行、消費金融公司、信託、保險公司等持牌金融機構輸出，為其提供高效、安全的智能風控和反欺詐技術服務。2016至2018年，連續三年被評為深圳市軟件企業；2019年，被評定為國家規劃佈局內重點軟件企業，同年列入深圳市發改委新興產業扶持計劃，企業自身通過了ISO27001認證。
該等出售事項的所得款項總額將約為人民幣20.67億元，預計該等出售事項的所得款項將用作公司的一般營運資金，用於償還借款和/或融資以及公司未來的潛在投資機會。
公告稱，拉卡拉是國內知名的綜合型金融科技公司，以支付為切入，整合信息科技，全維度為中小微商户提供支付科技、金融科技、電商科技、信息科技等服務。拉卡拉擁有體量龐大的商户資源，覆蓋線上與線下豐富的經營和消費場景。聯想控股向拉卡拉出售標的一及標的二可更好的釋放其戰略價值，符合聯想控股的長期發展戰略。董事會認為該等出售事項可將公司的資源投入現有及潛在業務，為公司股東提供更好的回報。
