環亞國際實業(01143.HK)擬收購美國網紅營銷平台公司股份
格隆匯4月8日丨環亞國際實業(01143.HK)發佈公告，2020年4月8日，公司與ImpressedInc.(“目標公司”)及其股東(“潛在賣方”)訂立不具法律約束力的諒解備忘錄。
根據諒解備忘錄，基於各方對以下的共同理解：(i)新冠疫情COVID-19全球爆發後尤其促進了互聯網網紅經濟市場的迅速發展，(ii)中國大量優勢企業正在開拓海外市場，尤其是生產抗擊新冠疫情COVID-19相關健康產品的企業，(iii)雙方均認可目標公司在跨境互聯網網紅營銷軟件即服務(“SaaS”)行業的優勢地位，公司有意向收購目標公司的部分股份數目。自諒解備忘錄簽訂日期起計60日內，公司將對目標公司進行盡職審查。待盡職審查完成且公司信納目標公司後，公司將與潛在賣方簽訂一份正式買賣協議。
根據目標公司提供的資料，其於美國註冊成立。作為全球互聯網網紅SaaS平台，目標公司基於人工智能及大數據分析技術鏈接全球網紅與中國優質品牌商家，成為支援中國優勢企業開展海外營銷的領先企業。目標公司已積累240萬以上的互聯網網紅數據，而其可拓展的大數據平台可以實時處理數十億個社交媒體條目。目標公司作為大量中國優質品牌商家一鍵對接Instagram、YouTube、Twitch等社交媒體的240萬全球互聯網網紅資源的管道，不僅有助於中國品牌提升產品推廣力度、全球影響力並實現國際化行銷，而且有助於美國互聯網網紅通過平台實現其知識產權價值變現，形成了與中國優勢企業為主的廠商間高效積極的合作關係。
董事會認為目標公司在跨境互聯網網紅SaaS平台行業的優勢地位，可為中國優勢企業及產品提供支援，以建立新營銷生態系統及連接互聯網網紅業務，尤其可為抗擊新冠疫情COVID-19相關的企業及其產品出海需求提供營銷支援，該合作與集團打造領先跨境價值鏈服務平台的策略一致，並有利於集團業務實現轉型及升級。
