藍豐生化(002513.SZ)：持股5%以上股東王宇被採取證券市場禁入措施
格隆匯4月8日丨藍豐生化(002513.SZ)公佈，2020年4月7日，公司持股5%以上股東王宇收到中國證券監督管理委員會江蘇監管局下發的《市場禁入決定書》([2020]1號)，內容如下：
當事人：王宇，男，住址為陝西省西安市雁塔區，2016年1月22日至2017年3月21日任江蘇藍豐生物化工股份有限公司(藍豐生化)董事、副董事長，原藍豐生化子公司陝西方舟製藥有限公司(方舟製藥)實際控制人和法定代表人。
依據2005年修訂的《中華人民共和國證券法》(2005年《證券法》)的有關規定，中國證券監督管理委員會江蘇監管局對藍豐生化信息披露違法違規行為進行了立案調查、審理，並依法向當事人告知作出市場禁入的事實、理由、依據及當事人依法享有的權利。王宇未提交陳述、申辯意見，也未要求聽證。本案現已調查、審理終結。
經查明，藍豐生化存在以下違法事實：1.王宇作為藍豐生化的關聯自然人，禾博生物、寧夏華寶和方舟置業構成藍豐生化的關聯法人；2.王宇佔用方舟製藥資金的行為實質上構成藍豐生化與關聯方之間的關聯交易，該關聯交易藍豐生化未按規定在2016年半年報、2016年年報、2017年半年報進行如實披露。
王宇作為藍豐生化時任董事、副董事長，親自策劃、實施了前述關聯交易事項，直接導致了藍豐生化信息披露違法行為的發生，是藍豐生化信息披露違法行為直接負責的主管人員。王宇違規佔用方舟製藥鉅額資金，至調查終結之日仍有約3.3億元尚未歸還，給上市公司造成重大損失，違法行為情節嚴重。根據2005年《證券法》第二百三十三條、《證券市場禁入規定》第三條、第五條規定，中國證券監督管理委員會江蘇監管局決定對王宇採取5年證券市場禁入措施。自中國證券監督管理委員會江蘇監管局宣佈決定之日起，在禁入期間，除不得繼續在原機構從事證券業務或者擔任原上市公司、非上市公眾公司董事、監事、高級管理人員職務外，也不得在其他任何機構中從事證券業務或者擔任其他上市公司、非上市公眾公司董事、監事、高級管理人員職務。
