豫金剛石(300064.SZ)及董事長、財務總監收到河南證監局警示函
格隆匯4月7日丨豫金剛石(300064.SZ)公佈，公司於2020年4月7日收到中國證券監督管理委員會河南監管局(“河南證監局”)下發的《關於對鄭州華晶金剛石股份有限公司和相關責任人員採取出具警示函措施的決定》(〔2020〕6號)，現將具體情況公告如下：
鄭州華晶金剛石股份有限公司、郭留希、劉國炎：
2020年1月18日，你公司披露《鄭州華晶金剛石股份有限公司2019年度業績預告》，預計2019年度歸屬於上市公司股東的淨利潤(“淨利潤”)為6743.8萬元至9634萬元。2月29日，你公司披露《鄭州華晶金剛石股份有限公司2019年度業績快報》，預計2019年度淨利潤為8040.34萬元。4月3日，你公司披露《鄭州華晶金剛石股份有限公司2019年度業績預告及業績快報修正公告》，將2019年度預計淨利潤修正為虧損約51.51億元。你公司對同一事項信息披露前後存在重大差異。
上述行為違反了《上市公司信息披露管理辦法》(證監會令第40號)第二條、第三條的規定，你公司董事長郭留希、財務總監劉國炎對上述違規行為負有主要責任。根據《上市公司信息披露管理辦法》（證監會令第40號）第五十八條、第五十九條的規定，現決定對你公司及郭留希、劉國炎採取出具警示函的監管措施，並記入證券期貨市場誠信檔案。你公司及相關責任人員應深刻吸取教訓，加強內部管理，認真學習證券市場法律法規，依法履行信息披露義務，杜絕違規行為再次發生，並於收到本決定書30日內向我局報送書面報告。
如果對本監督管理措施不服的，可以在收到本決定書之日起60日內向中國證券監督管理委員會提出行政複議申請，也可以在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監督管理措施不停止執行。
收到警示函後，公司及相關人員高度重視警示函中指出的相關問題，深刻反思公司在信息披露、會計核算等工作中存在的問題和不足。公司將以此為戒，認真吸取經驗教訓，堅決遵循上市公司信息披露規範要求，加強對《上市公司信息披露管理辦法》、《深圳證券交易所創業板股票上市規則》及《深圳證券交易所創業板上市公司規範運作指引》等法律法規以及中國證券監督管理委員會、深圳證券交易所其他相關規定的學習，規範會計核算，提高信息披露質量，提升公司規範運作水平，切實維護投資者利益，促進公司健康、穩定和可持續發展。
