基石金融(08112.HK)擬“20合1”並股並削減股本
格隆匯4月7日丨基石金融(08112.HK)公佈,董事會建議“20合1”合併股份。緊隨股份合併生效後,將實行股本削減及股份拆細,據此,公司已發行股本將透過註銷已繳足股本(以每股當時已發行合併股份註銷1.99港元為限)予以削減,致使每股已發行合併股份面值將由2.00港元減至0.01港元;及緊隨股本削減後,每股面值2.00港元法定但未發行合併股份將分拆為200股每股面值0.01港元的新股份。
於股本削減及股份拆細生效後,新股份每手買賣單位與合併股份相同,即每手24,000股新股份。
因股本削減將產生進賬約1.14億港元。建議將股本削減產生的進賬入賬公司可分派儲備賬,並將由公司按董事會可能視為合適及所有適用法律、章程大綱及章程細則允許的方式動用。
