雙一科技(300690.SZ)：2個募投項目延期
格隆匯4月7日丨雙一科技(300690.SZ)公佈，公司募投項目中的“機艙罩及大型非金屬模具產業化項目”，經公司第二屆董事會第一次臨時會議通過了《關於變更部分募投項目實施地點的議案》，將公司“機艙罩及大型非金屬模具產業化項目”募集資金中的2億元實施地點由武城分公司院內變更到江蘇省鹽城市大豐經濟開發區風電產業園內實施。董事會審議通過上述議案後，公司與江蘇省鹽城市大豐經濟開發區管委會簽訂了項目協議書並於2017年11月1日設立全資子公司雙一科技鹽城有限公司(以下簡稱“鹽城子公司”)計劃購買土地100餘畝並新建廠房實施上述募投項目。根據鹽城子公司與江蘇省鹽城市大豐經濟開發區管委會的約定，鹽城子公司於2017年9月繳納購地保證金，至2019年4月公司取得部分土地使用權(59.69畝)。
鹽城子公司為了積極推動募投項目，在土地指標批覆遲緩的情況下，通過租賃廠房約15,000平米進行生產經營。2019年4月取得部分土地使用權後，迅速推進廠房建設。截至2019年12月31日，鹽城子公司在建的2幢廠房及宿舍樓的主體部分已基本完工，預計2020年4月底即可交付使用。鹽城子公司正在積極協調大豐區管委會提供約定的剩餘土地指標。
因上述問題，導致該募投項目的項目建設推進緩慢。為了使募投項目的實施更符合公司發展戰略的要求，有效提升募集資金的使用效果，降低募集資金的使用風險。公司經審慎研究，決定將“機艙罩及大型非金屬模具產業化項目”延期至2022年1月30日前完成。
公司募投項目中的“複合材料研發中心項目”立項備案時間為2015年7月份，原計劃在雙一科技武城分公司生產基地內建設並實施。公司上市後經公司部分董事提議，計劃將該募投項目實施地點變更至山東省德州市德城區雙一科技住所地附近實施，同時將該項目延期至2020年7月31日前實施完成。
上述議案通過後，公司管理層積極向德州市德城區政府及土管部門協調落實土地指標問題，該塊土地已於2020年3月3日在德州市公共資源交易中心網站進行網上掛牌公告。公司取得該宗土地使用權後，至“複合材料研發中心項目”建設完成需要約一年的建設週期。經公司審慎研究，決定將“複合材料研發中心項目”延期至2022年1月30日前完成。
