中昌國際控股(00859.HK)擬1.77億元出售杭州臨安地塊權益
格隆匯4月7日丨中昌國際控股(00859.HK)宣佈,於2020年4月7日,公司全資附屬舟山銘義擬向東投地產出售杭州銘倫100%股權及相關貸款,代價為人民幣1.77億元。
杭州銘倫的主要資產為中國浙江省杭州市臨安區的土地的物業權益。該土地位於中國浙江省杭州市臨安區福興街以北,土地面積約23,642平方米。其位處臨安區中心地段,四周具備完善的設施及基礎建設,距離杭州-瑞麗高速公路入口5公里以內、臨安區政府3.5公里以內、臨安人民醫院3.3公里以內。該土地擬發展住宅單位為主,最大可發展建築面積約42,556平方米。於公佈日期,該土地的發展工程尚未展開。該土地為杭州銘倫於2019年6月透過公開投標程序從臨安資源局收購之土地,代價為人民幣3.476億元。按照出讓協議,集團已支付部分付款,餘額約人民幣1.738億元須於2020年7月7日或之前支付。由於代價餘額尚未到期支付,該土地的擁有權證書截至公佈日期尚未發放。
完成後,集團將再無責任支付出讓協議下的代價餘額。扣除與出售事項直接有關之開支後,舟山銘義將予收取之出售事項所得款項估計約為人民幣1.758億元,當中擬動用(i)約人民幣8500萬元作為給予鎮江天工的免息股東貸款,當中約人民幣5190萬元將用以償還該貸款之一部分及其應計利息;及約人民幣3310萬元將用以撥付鎮江天工所持物業項目的建築成本;及(ii)約人民幣9080萬元用作集團之一般營運資金及經營開支,如利息開支及總部開支。集團預期將就出售事項錄得收益(扣除開支前)約人民幣430萬元。
