香港金融集團(00007.HK)擬收購馬達加斯加投資控股全部股權 總代價11.8億元
格隆匯4月6日丨香港金融集團(00007.HK)發佈公告，2020年4月6日，公司間接全資香港金控國際投資集團有限公司作為買方、公司與豐陽集團有限公司作為賣方訂立該協議，據此，賣方已有條件同意向買方出售待售股份及轉讓股東貸款，總代價為人民幣11.8億元，其中(i)人民幣8000萬元將於簽訂該協議後10個營業日內以現金償付，作為應付的可退還按金；及(ii)人民幣11億元將於完成時透過由公司向賣方發行可換股債券償付。
待售股份相當於目標公司馬達加斯加投資控股有限公司全部已發行股本。股東貸款，相當於目標集團於完成日期結欠賣方所有款項，於2020年3月31日其尚未償還金額約為3.73億港元。
目標公司為一間於英屬處女羣島註冊成立投資控股有限公司。目標集團主要資產為分別由MPGL及MGL持有該等土地及博彩牌照。於該公佈日期，目標公司透過其全資附屬公司間接全資擁有MPGL及MGL。
MPGL為一間於馬達加斯加註冊成立有限公司。MPGL擁有五幅位於馬達加斯加圖利亞市(Toliara City)阿齊莫－安德列發那區(Atsimo-Andrefana region)的土地，總地盤面積約為58.3萬平方米。MPGL亦獲授權於該等土地上興建及營運圖利亞海濱“智慧太陽城”房地產和商業及博彩業大型綜合項目。該項目位於馬達加斯加旅遊勝地圖利亞市。該項目將涵蓋總規劃建築面積約100萬平方米，其將包括綜合度假酒店、賭場、大型商場及住宅發展項目。 MGL為一間於馬達加斯加註冊成立有限公司。MGL於馬達加斯加持有經營賭場業務牌照。
2020年1月，MPGL、MGL及馬達加斯加共和國圖利亞市就該項目訂立項目協議。根據項目協議，(i) MPGL已獲授出興建及營運該項目權利，為期99年；及(ii) MGL獲圖利亞市政府准許發展及經營將根據該項目興建的賭場。另一方面，圖利亞市政府將處理有關(其中包括)為該項目取得相關房地產所有權證的批准工作。
關於圖利亞海濱“智慧太陽城”項目集團將會參考南非“迷城皇宮”的規劃功能格局，進行圖利亞海濱“智慧太陽城”房地產和商業及博彩業大型綜合項目的規劃建設經營，該項目得天獨厚的天然優越條件，比南非“迷城皇宮”更具環境條件特色，因其項目地塊位處圖利亞海濱，可以充分利用當地叢林沙灘，碧水藍天，其一年四季陽光充足，並均可暢泳的天然氣候自然條件優勢，而創造出更新更美的“天人合一”場景。
