*ST天馬(002122.SZ)：擬2.25億元收購資產 交易價款由喀什星河代付
格隆匯4月6日丨*ST天馬(002122.SZ)公佈，公司全資附屬機構徐州市德煜管理諮詢合夥企業(有限合夥)(“徐州德煜”)擬收購徐州睦德信息科技有限公司(“徐州睦德”)持有南京宏天陽網絡科技有限公司100%股權、持有徐州雋雅信息服務有限公司100%股權、持有的徐州市鼎弘諮詢管理合夥企業(有限合夥)99.76%財產份額、徐州市鼎裕諮詢管理合夥企業(有限合夥)99.91%財產份額，此次交易價款由喀什星河創業投資有限公司(“喀什星河”)代付。
此次交易為市場化收購，以資產評估結果作為定價依據。公司聘請了北京中鋒資產評估有限責任公司及深圳市鵬信資產評估土地房地產估價有限公司對交易標的進行了評估，此次收購資產最終收購估值約2.22億元，另，因標的資產之一南京宏天陽網絡科技有限公司原股東於評估基準日後實繳出資500萬元，調整後資產最終估值約2.27億元，交易價格約2.25億元。
公司董事長武劍飛持有徐州睦德75%的股權並擔任其執行董事，根據《深圳證券交易所股票上市規則(2019年4月修訂)》第10.1.5條第(二)項和第10.1.3條第(三)項的規定，公司及徐州德煜與徐州睦德構成關聯方；喀什星河原為公司控股股東，現為持有公司5%以上股份的股東，根據《上市規則》第10.1.3條第(一)項、第10.1.6條第(二)項和第10.1.3條第(四)項的規定，公司、喀什耀灼、徐州德煜與喀什星河構成關聯方，此次交易構成關聯交易，但此次交易不構成《上市公司重大資產重組管理辦法》規定的重大資產重組。
此次收購標的資產項下控制的底層資產為少數股東權益，包括徐工機械【1623.3766萬】股股票、象形股份(主營業務為學歷教育服務、軟件銷售以及線下零售服務)6.7491%的股權、世紀金光(主營業務為碳化硅單晶片、碳化硅器件、碳化硅同質SIC外延片、IGBT模塊及其他類產品的研發、生產和銷售)0.71%股權、新鋭移動(主營業務為網紅經紀、網紅培訓、品牌加盟、網紅電商、整合營銷等)4.32%的股權、索引教育(主營業務為教育諮詢、海外招生代理)5.5556%股權、華藝園林(主營業務【為從事風景園林建設、保護與管理；園林與旅遊景觀的規劃、設計、研發；園林植物與非園林植物資材的生產、銷售等三大業務】)0.83%的股份、網拍天下(主營業務是為品牌商及零售商提供商品內容數據服務)25%的股權、環球雅途(主營業務為區域旅遊目的地智慧化運營服務提供商)0.55%的股權，其中，徐工機械為上市公司，華藝園林為新三板掛牌公司。
公司董事會認為，公司收購的該等的少數股東權益，與公司目前創業及創業服務投資的業務相符，未來可以通過多種退出方式實現投資收益。
公司收購的標的資產中對應的標的債權，債務人陽邏中揚具備一定的履約能力，且徐州睦德對標的債權的實現承諾履行現金差額補足義務，進一步對標的債權的實現採取了可控的措施。董事會認為，標的債權可收回的債權可以增強公司的現金流。
