*ST生物(000504.SZ)：聘任龍海彧為總經理的議案未獲通過
格隆匯4月6日丨*ST生物(000504.SZ)公佈，公司第十屆董事會第十二次臨時會議召開，關於聘任公司高級管理人員的議案；
經董事長提名，公司擬聘任龍海彧為總經理。會議以3票贊成，3票反對，0票棄權，審議了《關於聘任公司高級管理人員的議案》，董事林曉輝、獨立董事徐仁和和施哲對本議案投反對票的理由如下：
董事林曉輝：該候選人無醫藥及幹細胞專業背景。
獨立董事徐仁和：南華生物非常需要一位具有生物或醫學背景的人擔任總經理，該候選人沒有所需背景，專業不符合。
獨立董事施哲：龍海彧不是生物專業人士，本人反對其擔任公司總經理職務。
根據《公司章程》第一百二十一條和第一百九十七條的規定，本議案未通過。
關於提名第十屆董事會董事候選人的提案；根據公司大股東湖南省財信產業基金管理有限公司的《推薦函》，公司擬推薦龍海彧作為第十屆董事會董事候選人，提交公司股東大會進行選舉。
會議以3票贊成，3票反對，0票棄權，審議了《關於提名第十屆董事會董事候選人的提案》，董事林曉輝、獨立董事徐仁和、施哲對本議案投反對票的理由同議案1。
根據《公司章程》第一百二十一條和第一百九十七條的規定，本提案未通過。公司將從長遠發展考慮，就本次董事會提案事項與全體董事進一步溝通磋商。
龍海彧，男，漢族，湖南寧鄉人，出生於1986年3月，2010年1月參加工作，碩士研究生學歷。現任湖南省財信產業基金管理有限公司董事，深圳惠和投資有限公司總經理。具體簡歷如下：2004.09-2007.06，巴黎第一大學經濟學專業本科畢業；2007.09-2010.01，巴黎第一大學金融學專業碩士研究生畢業；2010.07-2014.10，法國巴黎銀行投資銀行部，歷任分析師、高級經理；2014.10-2015.07，財富證券有限責任公司投資銀行部副總經理(主持財務顧問工作)；2015.07-2016.07，財富證券有限責任公司中小企業融資部總經理；2016.07至今，深圳惠和投資有限公司總經理；2016.09-2020.01，上海海欣集團股份公司監事會主席；2017.08-2020.03，湖南省財信產業基金管理有限公司副總經理；2018.10至今，深圳惠和投資有限公司執行董事；2018.10至今，湖南省財信產業基金管理有限公司董事。
